“Emeritus presidents may not vote on issues. Matthew leguen de lacroix may not vote on issues that involve sior. The executive committee shall consist of the president, president-elect, first vice president, treasurer, the immediate past president, and the chairs of the remaining standing committees. The executive committee shall be chaired by the president and shall perform the day-to-day management of the corporation and shall formulate policy to propose for action to the board of trustees.”

“Professional services and staffing. Sior shall provide sior foundation with the services of some or all of its employees as may be reasonably required by sior foundation from time to time and as agreed to by the parties. On behalf of the sior foundation, sior will engage its executive leadership team to serve as executive support to the sior foundation and to be responsible for managing the sior foundation staff pursuant to the terms of an employment agreement. The executive leadership team at sior will consist of the ceo, coo and cfo. However, accounting services or financial support are not a part of this agreement. The designated sior foundation staff person(s) will be a direct employee(s) of the sior foundation. The sior foundation will establish and reimburse sior one hundred percent (100%) of salary, bonuses and taxes of the staff person(s) of the sior foundation. This reimbursement for salary, bonuses, and taxes of staff, shall be in addition to the fixed monthly management fee. Sior will continue to administer payroll as a service and part of this agreement through nar. Further, sior as part of the management fee will incur any management cost associated with the execution and management of the established position. However, hiring, recusal, or termination of any sior foundation staff person(s) directly by the sior foundation will be maintained by the sior foundation leadership and pursuant to the employment agreement with said staff person(s).”

“Management reviews and distributes the draft form 990 and supporting schedules to the executive committee for review, comment, and corrections. The final draft will be distributed to the foundation board of trustees for review and comment up to one week prior to filing with the irs.”

“The foundation adopted a document retention and destruction policy, a whistleblower policy, a code of conduct, and a conflict-of-interest policy. These are presented and reviewed semi-annually at board meetings. All trustees and officers receive annually a conflict of interest/statement of disclosure and conflict of interest questionnaire that all are required to complete and submit to the sior foundation office. The disclosures are kept on file and used to make required disclosures on the form 990.”

“The filing organization relied on a unrelated organization for the purposes of determining compensation. The related organization used the following practices to establish compensation of the foundation director: executive committee (in lieu of a compensation committee), compensation survey or study, and approval by board or executive committee. Employees are shared with the society of industrial and office realtors of the nar (sior) and therefore, the compensation is paid by sior.”

“The foundation makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.”
