Governance Explanations

Form 990, Part VI, Section A, Line 3

The property owned by the corporation is managed by quantum property management pursuant to a management agreement approved by hud. The fee is 3.61% of gross collections of the project. For the years ended september 30, 2024 and 2023, management fees were $107,376 and $105,788. There were no board members compensated by the management company during the year.

The form 990 is prepared by an outside accounting firm. The return is reviewed by management and a complete copy of the form 990 is provided to all board members prior to filing with the irs.

Form 990, Part VI, Section B, Line 12C

The organization has a written conflict of interest policy requiring board members to fully disclose any actual or potential conflicts to the board president (or vice president if the president is conflicted). The policy mandates disclosure of specific relationships and financial interests that could present conflicts. After disclosure, the board evaluates the situation and decides if a conflict exists. If so, the interested board member may clarify but does not participate in the decision. Any related transactions must be in the organization's best interest and fully disclosed and approved by the board at a formal meeting.

The executive director's compensation is determined using salary data from the maryland nonprofits compensation survey and an annual performance evaluation. The finance committee reviews the proposed compensation, and the full board approves it during the annual budget process.
