Governance Explanations

Form 990, Part VI, Section A, Line 2

Charles h. Thornton, ph.d., p.e. And diana eidenshink have a family relationship.

Form 990, Part VI, Section B, Line 11B

Ace mentor program of america has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. Prior to filing, the 990 form is reviewed by the ace president/ceo, the director of finance & operations, and the treasurer and distributed to the members of the finance/audit committee for their review, as well. The form 990 is made available for review at one of ace's full board meetings during the year, but not ordinarily prior to the time the form is filed.

Form 990, Part VI, Section B, Line 12C

The purpose of the conflict of interest policy is to protect the interests of ace mentor program of america, inc. When it is contemplating entering into a transaction or arrangement that might benefit the private interest of an officer or director of ace, and certain other persons. This policy is intended to supplement but not replace any applicable state and federal laws governing conflicts of interest applicable to nonprofit and charitable organizations. Any director, principal officer, member of the executive committee, or other member of a committee with board of directors delegated powers, and any employee of ace is an interested person. Each interested person shall annually disclose and promptly update any disclosures previously made. After disclosure of any actual or possible conflict of interest and all material facts, and after any discussion with the interested person, the interested person shall leave the meeting while the determination of a conflict of interest is discussed and voted upon. The executive committee, or the remaining members, as the case may be, shall decide if a conflict of interest exists. The chairperson of the executive committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the executive committee shall determine whether ace can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the executive committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in ace's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it shall make its decision as to whether to enter into the transaction or arrangement.

Form 990, Part VI, Section B, Line 15A

Compensation changes are presented to the full executive committee for final approval. In addition, the organization's president determines the compensation for director of finance & operations. The president presents her suggestions to the compensation committee and executive committee, and they give a final approval. Compensation was last reviewed and approved in january 2019.

Form 990, Part VI, Section C, Line 19

INITIAL MEETINGS INVOLVE VISITS TO THE OFFICES OF THE INVOLVED FIRMS WHERE THE SCOPES OF THEIR ACTIVITIESARE DISCUSSED AND A TOUR OF THE FACILITIES CONDUCTED. EACH TEAM THEN SELECTS A DESIGN PROJECT THAT MAY REQUIRE SITE ACQUISITION, AS WELL AS THE DRAWING OF PLANS, THE BUILDING OF MODELS, AND OTHER RELATED ACTIVITIES. STUDENTS GO THROUGH THE ENTIRE DESIGN PROCESS, WITH THE TASKS THEY PERFORM FOR THEIR "CLIENTS" MODELED ON THE REAL-LIFE ACTIVITIES OF THEIR MENTORING FIRMS.
