Mission and Program Overview

Mission

Ace's mission is to enlighten and increase the awareness of high school students to career opportunities in architecture, construction and engineering and related areas of the design and construction industry through mentoring.ace is a unique partnership among industry professionals architects, interior designers, engineers, construction managers, college and university representatives, and other professionals from related corporations and professional organizations who work together to attract young people to their professions. Industry professionals volunteer to become mentors to high school students in order to introduce them to the professions and encourage them to pursue studies and careers in these fields. In return, the industry get a much-needed boost of new talent.

Ace (architecture, construction and engineering) mentor program of america is a high-school after school mentoring program for the architecture, construction and engineering industries. More than 57,000 students have been introduced to the multi-faceted industry and the opportunities it provides. Today, the ace mentor program has programs in 200 cities in 35 states and over 8,000 students will complete the program annually.

Changes to the by-laws were made during 2016. Changes to the by-laws include: -eliminate the limitation on the number of directors -extend the term limits of directors from two (2) terms to three (3)

Form 990, Part VI, Section B, Line 11B

Ace mentor program of america has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. Prior to filing, the 990 form is reviewed by the ace president/ceo, the interim executive director, the director of finance & operations, and the treasurer and distributed to the members of the audit committee for their review, as well. The form 990 is made available for review at one of ace's full board meetings during the year, but not ordinarily prior to the time the form is filed.

Form 990, Part VI, Section B, Line 12

The conflict of interest policy is applicable to members of the executive committee. The organization adopted the policy in 2016, and annual disclosure statements were required beginning in 2017. To ensure the corporation operates in a manner consistent with charitable purposes and does not engage in activities that could jeopardize its tax-exempt status, periodic reviews shall be conducted, beginning in 2017. The periodic reviews shall, at a minimum, include the following subjects: a. Whether compensation arrangements and benefits are reasonable, based on competent survey information and the result of arm's length bargaining; and b. Whether partnerships, joint ventures, and arrangements with management organizations conform to the corporation's written policies, are properly recorded, reflect reasonable investment or payments for goods and services, further charitable purposes and do not result in inurement, impermissible private benefit or in an excess benefit transaction. If an individual ("interested person") is aware of a potential conflict, they must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. An interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the governing board or committee shall determine whether the corporation can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the corporation's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it shall make its decision as to whether to enter into the transaction or arrangement. The minutes of the governing board and all committees with board delegated powers shall contain: 1. The names of the persons who disclosed or otherwise were found to have a financial interest in connection with an actual or possible conflict of interest, the nature of the financial interest, any action taken to determine whether a conflict of interest was present, and the governing boards or committee's decision as to whether a conflict of interest in fact existed; and 2. The names of the persons who were present for discussions and votes relating to the transaction or arrangement, the content of the discussion, including any alternatives to the proposed transaction or arrangement, and a record of any votes taken in connection with the proceedings.

Form 990, Part VI, Section B, Line 15A

Compensation of the organization's president/ceo/interim executive director is reviewed annually by a compensation committee that includes the treasurer, two other members of the executive committee and two additional board members. Compensation is determined based on a review of performance and 990's of similar organizations. The compensation package is documented in a contract which is presented to the full board for final approval. Compensation was last reviewed and approved in december 2016. Currently, the organization does not have any officers or key employees, other than the president/ceo/interim executive director, that receive compensation. The compensation process for these other officers and key employees would be similar to the process used for determining the compensation for the organization's president.

Form 990, Part VI, Section C, Line 19

The organization makes its form 990 available for public inspection as required under section 6104 of the internal revenue code. The return is posted on guidestar.org and other similar types of websites. In addition, governing documents are also available upon written request or by calling the organization directly. The form 990 and the financial statements are also posted on ace's website.

Funds held on behalf of chapters and affiliates - ace receives and holds certain funds which are intended for use by its chapters and affiliates. These amounts are considered agency funds and are reflected as a liability until released to the specified chapter or affiliate.

PART X, LINE 2:

Management recognizes the effects of income tax positions only if those positions are more likely than not to be sustained. Management has determined that the organization had no uncertain tax positions that would require financial statement recognition or disclosure. The organization is no longer subject to examination by applicable taxing authorities for periods prior to 2013.

THEY WORK UNDER THE GUIDANCE OF A TEAM OF MENTORS FROM FIRMS REPRESENTING OWNERS, ARCHITECTS, CONSTRUCTION MANAGERS AND ENGINEERS (MECHANICAL, ELECTRICAL, CIVIL AND STRUCTURAL).TEAMS MEET APPROXIMATELY FIFTEEN TIMES DURING THE COURSE OF THE SCHOOL YEAR IN AN AFTER-SCHOOL PROGRAM. INITIAL MEETINGS INVOLVE VISITS TO THE OFFICES OF THE INVOLVED FIRMS WHERE THE SCOPES OF THEIR ACTIVITIES ARE DISCUSSED AND A TOUR OF THE FACILITIES CONDUCTED. EACH TEAM THEN SELECTS A DESIGN PROJECT THAT MAY REQUIRE SITE ACQUISITION, AS WELL AS THE DRAWING OF PLANS, THE BUILDING OF MODELS, AND OTHER RELATED ACTIVITIES. STUDENTS GO THROUGH THE ENTIRE DESIGN PROCESS, WITH THE TASKS THEY PERFORM FOR THEIR "CLIENTS" MODELED ON THE REAL-LIFE ACTIVITIES OF THEIR MENTORING FIRMS. AMONG THE SKILLS THEY LEARN ARE DRAWING TO SCALE AND ESTIMATING THE COST OF A JOB, SKILLS THAT THEIR MENTORS UTILIZE IN PERFORMING THEIR DAILY PROFESSIONAL DUTIES. THE NATIONAL STAFF OF THE ACE MENTOR PROGRAM OF AMERICA SUPPORTS LOCAL AFFILIATES BY PROVIDING DIRECTION FOR FINANCIAL SOLVENCY, FISCAL COMPLIANCE PROGRAM DEVELOPMENT AND LONG-TERM STRATEGIC PLANNING. STAFF ALSO EVALUATE AND REVIEW AFFILIATE ACTIVITIES, DEVELOP REGIONAL ACTIVITIES, ENSURE PROPER COMMUNICATION SUPPORT AND COORDINATE NATIONAL ORGANIZATIONS AND SPONSORS.
