Governance Explanations

Form 990, Part VI, Section A, line 7A

Bylaws provide that the selection of the Board of Directors be determined as follows: 7 appointed by the Governor of Delaware; 7 appointed by the New Castle County Executive; 7 appointed by the Mayor of Wilmington; 6 appointed by the Board itself.

Form 990, Part VI, Section B, line 11B

Draft versions of the Form 990 are distributed to all members of the Governing Board for approval prior to filing.

Form 990, Part VI, Section B, line 12C

Each Director must complete a Conflict of Interest Policy Disclosure Statement upon his/her election to the Board and annually thereafter. Board members are required to acknowledge a potential conflict to the Board prior to entering into a transaction with the Bureau. The minutes of the Board meeting at which a disclosure of conflict is made shall reflect the occurrence and the outcome. The Executive Director monitors contracts and vendor payments for potential conflicts of interest and informs the Chairman of the Board. The Chairman then brings the potential conflict to the Board for discussion when deemed possibly material.

Form 990, Part VI, Section B, line 15

The Executive and Finance Committees, both consisting of independent Board members, approve pay levels for all employees through the budget approval process. Pay levels for all employees are generally adjusted for cost of living increases annually, unless the employee is promoted. All approvals are contemporaneously documented in meeting minutes.

Copies of Form 990 and documents related to the Bureau's tax exemption are held at the Bureau's offices and are available upon request.

Form 990, Part VI, Section C, line 19

While the Bureau routinely provides copies of the audited financial statements when requested, it has never received a request for its conflict of interest policy or governing documents. Although there is no legal requirement that it do so, in the interest of transparency, requests of this nature will be evaluated by the Bureau and responded to on a case by case basis.
