“The organization has two types of eligible members. Professional membership: school counseling professionals who hold a master's degree or higher in school counseling or the substantial equivalent and are employed as school counselors, supervisors of school counselors or professors of counseling in a graduate program that prepares school counselors are eligible for professional membership. Retired membership: professional members in retirement are eligible for retired membership.”

“The directors are elected annually through a general election by the association's professional and retired members held in accordance with the association's policies and procedures that address nominations and elections.”

“The bylaws may be amended by a majority vote at a general membership meeting or majority vote at the asca business meeting. The asca business meeting shall be composed of voting members of the asca board of directors and delegates of the chartered divisions.”

“The federal form 990 is prepared by our outside public accounting firm and then reviewed by the deputy executive director and the secretary/executive director. If changes are required, these are processed before providing a copy to the full board of directors for their review. A copy of the form is provided to the full board of directors prior to filing with the internal revenue service.”

“The board of directors annually reviews the conflict-of-interest policy and discloses any potential conflict of interest at the time the conflict is identified. All asca staff and board directors sign a conflict-of-interest disclosure statement annually. The ceo and deputy executive directors review the signed documents from staff. If asca staff members identify a conflict of interest, the ceo and deputy executive directors determine if there is a need for action. The board reviews each board director's signed statements. Signed documents are referred to general counsel if needed. The conflict-of-interest policy is always taken into consideration when there is the potential for conflict, particularly when signing new contracts or beginning new relationships. Any possible appearance of conflict of interest that arises in the course of business is researched to determine the existence of a conflict. If a contract is to be made with a related party, it is disclosed to the board of directors. Board members are precluded from voting on matters for which a conflict exists.”

“Compensation for the secretary/executive director is determined on an annual basis during a board of directors meeting prior to october 1st. The full board of directors meets to discuss compensation based on data from the american society of association executives. The board of directors' decision is contemporaneously documented. This process last occurred in august 2023.”
