Governance Explanations

The members of the corporation are designated "trustees". The trustees, at their annual meeting, elect trustees from among those persons, if any, nominated by the directors for election by the trustees. At least one-half the trustees at all times shall be residents of the town of duxbury, except if less than one-half of the trustees are residents of the town of duxbury by reason of the death, resignation or other cessation of membership in the corporation of one or more trustees.

The organization's board of directors, including the president and treasurer, as well as the executive director review a draft of the form 990, which is prepared by the organization's independent accountants. All directors and trustees of the organization are required to file a statement on an annual basis disclosing any potential interests that could give rise to conflicts. These statements are completed at the beginning of each fiscal year and are evaluated by the officers of the organization. In addition, the organization has a staff review process with regard to merit increases for key employees, which are approved annually by the executive director during the budget process.
