Governance Explanations

Form 990, Part VI, Section B, line 11B

RESPOND, Inc. (the Organization") engages an independent third-party accounting firm to perform an audit of its financial statements and to then subsequently prepare the annual Form 990 Tax Return. A draft of the Form 990 is provided to the Organization's management personnel as well as the Board's Finance Committee, to give representatives of the Organization an opportunity to review the return, to ask questions, and to address any concerns. A complete copy is then provided to the full Board of Directors for their own vote and approval prior to filing the return with the IRS.

Form 990, Part VI, Section B, line 12C

The Directors of the Organization have an obligation to: (i) protect decisions by or involving the Organization against conflicts of interest; (ii) maintain the confidentiality of information obtained through service as a Director; (iii) assure that the Organization acts in furtherance of its charitable purposes and for the benefit of the community as a whole rather than for the private benefit of a Director; and (iv) fully disclose any personal business opportunities that are competitive with the Organization, or in which the Organization would have an interest, or that may conflict with the Organization's pursuit of its charitable purposes, for example, the integrity of the Organization's grant-making activities. In the furtherance of these obligations, all Directors are expected to exercise the utmost good faith in all transactions touching upon their duties to the Organization or its property. In their dealings with and on behalf of the Organization, they will be held to a strict standard of honest and fair dealing. Directors must scrupulously avoid any conflict between their individual interests and the interests of the Organization in any and all actions they take. They are to disclose any interests or activities in which they are involved or become involved, directly or indirectly, that could conflict with the interests or activities of the Organization, or that might influence their votes, decisions or recommendations made in the context of their duties to the Organization, and need to obtain approval prior to commencing, continuing, or consummating any activity or transaction that raises a possible conflict of interest. Directors are also obliged to disclose any potential conflict of interest arising from the interests and activities of their spouses, dependents, siblings, sisters-in-law, brothers-in-law or parents ("immediate family"). Failure to comply with this Policy may disqualify a person from serving as a Director or, if already serving as a Director, may result in disciplinary action up to and including dismissal, subject to the terms of any applicable employment agreement or, in the case of a Director who is a member of the Board, the Board member will be deemed to have resigned. Board members are required each year to provide signed waivers indicating they agree to the Conflict of Interest Policy and to disclose any known or potential conflicts.

Form 990, Part VI, Section B, line 15A

A review of the Organization's CEO's performance and compensation is completed by the Board of Directors annually. The CEO and the Chairman of the Board then discuss this review and any changes or feedback therein. All compensation requests or changes for the Organization's CEO are approved during the budgeting process, which is debated and voted on by the entire Board of Directors. Additionally, no Director shall receive any compensation for their services as a member of the Board of Directors as such provided, however, that any Director may be reimbursed for necessary expenses incurred in the performance of their other duties as a Director.

Additional Explanations

Form 990, Part XII, Line 2C:

For its year ending June 30, 2024, the Organization engaged Baker Newman & Noyes, LLC, an independent certified public accounting firm, to audit its financial statements and to assist in the preparation and filing of its annual Form 990. Baker Newman & Noyes was not engaged by the Organization prior to this filing period. Accordingly, the engagement with Baker Newman & Noyes represents a change in audit procedures and processes. However, the audit was subject to the same oversight and review procedures by the Organization as was done with the predecessor firm.

Financial Statement Notes

Part X, Line 2:

The Agency is exempt from federal and state income taxes under Section 501(c)(3) of the Internal Revenue Code. Tax-exempt organizations could be required to record an obligation for income taxes as the result of a tax position they have historically taken on various tax exposure items, including unrelated business income or tax status. Under guidance issued by the Financial Accounting Standards Board, assets and liabilities are established for uncertain tax positions taken or positions expected to be taken in income tax returns when such positions are judged to not meet the "more-likely-than-not" threshold, based upon the technical merits of the position. The Agency has evaluated the position taken on its filed tax returns. The Agency has not taken, nor does it expect to take, any uncertain tax positions in any income tax return.
