“Through its related controlling entity, american college of allergy, asthma & immunology, inc. (acaai), the organization employs executive administration, a management firm, to provide management and administrative services. Richard slawny, executive director, is an employee of the management firm and receives a salary of $199,846 along with additional compensation of $51,454 for his services to acaai. Kevin bragaw, cfo, is also an employee of the management firm and receives a salary of $104,520 along with additional compensation of $15,928 for his services to acaai. Acaai allocates a portion of these salaries to the foundation via an intercompany management fee charge which, since the fee is recorded as an in-kind service, does not appear on part viii or part ix of the 990 but is reported on schedule d, part xi line 2b and part xii line 2a.”
“Membership categories: (a)founding member. The college shall be the sole founding member of the council. (b)additional membership categories. The membership of the council is composed of the following categories and such additional categories as may be established by the college from time to time: fellows, members, scientific fellows, honorary fellows, emeritus fellows, emeritus members, retired fellows, retired members, inactive fellows, inactive members, allied members, international affiliate member, fellow-in-training members and resident/medical student members. The criteria for membership are the same as those established by the college for each such membership category in its bylaws and policies. In addition, the council had been determined by the internal revenue service ("irs") not to be a private foundation within the meaning of section 501(c)(6) of the code. The council has evaluated the tax positions taken for all open tax years. Currently, the returns for the prior three fiscal years are open and subject to examination by the irs and the department of revenue of certain states; however, the council is not currently under audit nor has the council been contacted by these jurisdictions. Based on the evaluation of the council's tax positions, management believes all positions would be upheld under an examination; therefore, no provision for the effects of uncertain tax positions has been recorded for the years ended december 31, 2024 and 2023.”
