Form 990, Part VI, Section A, Line 1

There shall be an executive committee to act in the absence of the board of directors and on behalf of the board of directors between board meetings and shall be composed of the officers and the chairperson of the long-range planning committee. The executive director shall serve as a non-voting member of the executive committee. The committee shall keep minutes of its meetings and actions which shall be submitted to the board of directors at the next board meeting.

Form 990, Part VI, Section A, Line 6

Line 6 explanation - the organizations that are eligible to become members of the organization shall consist of (1) bona fide tax exempt private, operating, and corporate foundations, which are primarily funded by their own endowments rather than through on-going fundraising efforts and which make regular grants to multiple, distinct, unrelated beneficiaries and are located within the states of arizona, arkansas, colorado, nevada, new mexico, oklahoma and texas or have an active grantmaking program in such states, (2) community foundations, and (3) other grantmaking organizations that are recommended by the membership committee and approved by the board of directors.

Form 990, Part VI, Section A, Line 7A

Line 7a explanation - officers and members of the board of directors are elected by the active members of philanthropy southwest at the annual meeting. Board members must be representatives of active members of the organization.

Form 990, Part VI, Section A, Line 7B

Line 7b explanation - matters brought before philanthropy southwest representatives at their annual meeting are approved by the members present or who have sent their votes by written proxy. Such matters include amendments to the articles of incorporation or by-laws.

Form 990, Part VI, Section B, Line 11B

Line 11a explanation - the audit and finance committee, a standing philanthropy southwest committee, reviews the form 990 after that same committee has reviewed the audit draft to ensure consistency and accuracy of responses. The return is then forwarded to the full board for review and comments.

Form 990, Part VI, Section B, Line 12C

The board of directors monitors compliance with philanthropy southwests's conflict of interest policy on an annual basis by (1) reviewing the policy annually and (2) ensuring that each staff and member of the board has acknowledged in writing they have read the policy and agreed to comply.

Form 990, Part VI, Section B, Line 15A

The full board of directors desires philanthropy southwest's salary system to be market competitive. The organization subscribes to a bi-annual salary survey report produced by the community council of greater dallas which is made available to the board of directors. The board also has access to the salaries paid by its counterparts across the country via an annual report of the giving forum. Annually the board conducts a review of the executive director's performance, skills, competencies, development and growth, and effective visible commitment to the conference. At that time the board also reviews and determines the executive director's compensation. There are no additional officers or key employees. Other salaries are approved by the board of directors as part of the annual budget process.
