Governance Explanations

Form 990, Page 6, Part VI, Line 11B

A copy of form 990 is distributed to the board of directors prior to filing.

Form 990, Page 6, Part VI, Line 12C

Early in each year, directors are asked to sign a conflict of interest policy. There is also one for staff. Any potential conflicts are discussed at the finance committee meetings, which are held every other month.

Form 990, Page 6, Part VI, Line 15A

The executive committee annually reviews and evaluates the chief executive officer's performance and then makes a recommendation on any salary adjustment. The salary is approved by the executive committee. Board members' experience on other not-for-profit boards influences salary levels as well as their knowledge of not-for-profit executive salaries which are periodically published.

Youth programs research shows that high-quality after-school programs improve students' educational outcomes, school attendance, and social and emotional learning. Consistent participation in after-school programs results in lower dropout rates and helps to close achievement gaps for low-income students. After the school day ends, 1 in 5 kids across america are alone and unsupervised. These hours-from 2 to 6 p.m. Are the peak time for juvenile crime. After- school programs turn that time of risk into opportunity, keeping kids safe and helping them realize their full potential. In our community, wellspring's after-school program and summer day camp are inspiring learning, providing safety, promoting smart choices, and supporting working parents. Cost and access continue to be barriers to participation in after-school programs, with about 3 in 5 parents mentioning this as the reason they did not enroll their child in such a program. With your continued support, wellspring will continue to provide after-school and summer day camp programs to our community free of charge. In 2022, 244 students participated in our programs.

Form 990, Page 2, Part III, Line 4D

Clothing shoppe: through our boutique-style clothing bank, we provide quality clothing free-of-charge to residents in need. In 2022, our clothing shoppe served 2,205 individuals and gave out 25,966 pieces of clothing. All items in the shoppe are donations from individuals, and partnering stores that provide us their extra inventory. Clothing on our racks is in the best condition and quality, only without a price tag. Case management: this was a new program in 2022. Our case manager has helped many wellspring clients find resources in the community that we couldn't offer. Families were connected with nonprofits who were able to help them find housing, transportation, furniture, and healthcare. In 2022, we have served 98 families in this program.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt0YOUTH PROGRAMS RESEARCH SHOWS THAT HIGH-QUALITY AFTER-SCHOOL PROGRAMS IMPROVE STUDENTS' EDUCATIONAL OUTCOMES, SCHOOL ATTENDANCE, AND SOCIAL AND EMOTIONAL LEARNING.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt2A COPY OF FORM 990 IS DISTRIBUTED TO THE BOARD OF DIRECTORS PRIOR TO FILING.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt3EARLY IN EACH YEAR, DIRECTORS ARE ASKED TO SIGN A CONFLICT OF INTEREST POLICY. THERE IS ALSO ONE FOR STAFF. ANY POTENTIAL CONFLICTS ARE DISCUSSED AT THE FINANCE COMMITTEE MEETINGS, WHICH ARE HELD EVERY OTHER MONTH.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt4THE EXECUTIVE COMMITTEE ANNUALLY REVIEWS AND EVALUATES THE CHIEF EXECUTIVE OFFICER'S PERFORMANCE AND THEN MAKES A RECOMMENDATION ON ANY SALARY ADJUSTMENT.
