“Update according to new bylaws approved november 2021”

“The association shall have no voting members. However, the association may have such classes of nonvoting members as may be designated by these bylaws or from time to time by resolution of the board of directors. Each class shall have the qualifications, rights, privileges, and obligations determined by the board of directors, provided, however, that no members as such shall have the right to vote or otherwise participate in the management of the association. The board of directors may establish dues for nonvoting members.”

“Board members are nominated by the nominating committee which solicits current board members for recommendations. The proposed slate is presented to the current board of directors for approval. At the annual meeting of the board which is held in the last quarter of the calendar year at a date and time determined by the board of directors, the directors are formally elected. If the election of directors is for any reason not held on the day designated for an annual meeting, the board will cause the election to be held at a special meeting as soon thereafter as conveniently possible.”

“Ten (10) directors of the board of directors shall constitute a quorum for the transaction of business at any meeting of the board of directors. When a quorum is present at any meeting, the act of a majority of the number of directors present at a meeting of the board of directors at which a quorum is present shall be the act of the board of directors except to the extent that a greater proportion is required by law, or the articles of organization or these bylaws. A director may be removed by a vote of two-thirds of the remaining directors present if it is determined that such directors continued position would be detrimental to the board of directors, for example, because such director does not support or act in accordance with the purposes and policies of the association. Removal of a director shall be for cause only and may be accomplished only after the director sought to be removed has had reasonable notice and an opportunity to be heard before the remaining present directors. Each director entitled to vote shall have one vote on any question except as otherwise provided herein, and votes may only be cast in person or via virtual meeting or communication vehicles except as otherwise provided. Any action required or permitted to be taken at any meeting of the directors may be taken without a meeting if all the directors consent to the action in writing and the written consents are filed with the records of the meetings of the directors. Such consents shall be treated for all purposes as a vote at a meeting.”

“The treasurer and finance committee review the 990 draft. A report is then made to the board that the 990 review and finance committee aproval has been completed and filed.”

“Written signed conflict of interest statements are kept on file in the administrative office and potential conflicts are monitored by the agency coordinator.”
