Mission and Program Overview

Mission

The Minnesota Zoo Foundation raises contributed income on behalf of the Minnesota Zoological Garden whose mission is to connect people, animals, and the natural world to save wildlife. Zoo Foundation grants awarded to the Zoo support general operations; animal management and welfare; conservation; education; and capital projects. Funds raised by the Foundation also support wildlife conservation projects throughout Minnesota and around the world.

The minnesota zoo foundation is a 501(c)3 nonprofit dedicated to supporting the minnesota zoo's mission to connect people, animals, and the natural world to save wildlife. We provide critical funding and resources to support and scale the impact of important zoo initiatives. We rely on donor support to impact the well-being of humans, animals, and the planet and to make a lasting difference in minnesota, and around the world.

Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee is comprised of the past chair, chair, vice chair, treasurer and secretary of the board of trustees, and the co-chair of the governance committee. The president is the only non-voting member. The executive committee's primary purpose is to exercise powers for issues which arise between regularly scheduled board meetings or when it is not practical or feasible for the board to meet. All actions taken by the executive committee are reported at a regular meeting of the board.

The finance committee, the executive committee and the other members of the board each review and approve the draft of the form 990 before it is filed with the irs.

The foundation requires each trustee to review this policy annually, disclose any possible personal, familial or business relationships that reasonably could give rise to a conflict and acknowledge, by his or her signature, compliance with the letter and spirit of this policy. Trustees who have a conflict of interest shall refrain from participating in the consideration of proposed transactions that give rise to the conflict, unless for special reasons information or interpretation from the person with the conflict is specifically requested by the board or administration. Persons with conflicts shall not vote or be present at the time of the vote on the matter giving rise to the conflict.

The foundation's executive committee reviewed executive compensation for the president of the foundation, including a compensation study by an outside contracted firm, and discussion in a closed executive session by the executive committee. Compensation decisions were documented in the committee minutes and personnel files. The last compensation review process was held in fiscal 2024. For other officers, a periodic review of comparable salary data from the minnesota council of nonprofits was used by the president to determine compensation. Financial Statement Notes

PART V, LINE 4:

The foundation's endowment consists of permanently restricted and temporarily restricted funds established for the following purposes: permanently restricted funds are donor restricted to be held in perpetuity, with the income and related investment gains to be used for donor restricted zoo programs or operations. Temporarily restricted funds are the accumulation of earnings from the permanently restricted endowment that have not been appropriated for expenditure, with the income and related investment gains to be used for any mission related program.

PART X, LINE 2:

The foundation has received notification that it qualifies as a tax-exempt organization under section 501(c)(3) of the internal revenue code (the code) and corresponding provisions of state law and, accordingly, is not subject to federal or state income taxes. However, any unrelated business income may be subject to taxation. The foundation has been classified as a publicly supported charitable organization under section 509(a)(1) of the code and charitable contributions are deductible by donors. The foundation follows the accounting standards for contingencies in evaluating uncertain tax positions. This guidance prescribes recognition threshold principles for the financial statement recognition of tax positions taken or expected to be taken on a tax return that are not certain to be realized. No liability has been recognized by the foundation for uncertain tax positions as of june 30, 2024 and 2023. The foundation's tax returns are subject to review and examination by federal and state authorities.

EFFORTS BY THE MINNESOTA ZOO FOUNDATION, INCLUDING GRANTS TO THE MINNESOTA ZOO AND SUPPORT OF ZOO PROGRAMS AND LEADING-EDGE IDEAS REDEFINE THE ROLE AND IMPACT OF MODERN ZOOS, INCLUDING THROUGH THE CREATION OF INNOVATIVE NATURE EXPERIENCES, BEST-IN-CLASS EDUCATION PROGRAMS, AND INDUSTRY-LEADING CONSERVATION EFFORTS. FROM NATIVE MUSSEL RESTORATION WORK AND TURTLE HEAD-START PROGRAMS HERE IN MINNESOTA TO GLOBAL EFFORTS THROUGH THE ULYSSES S. SEAL CONSERVATION GRANT PROGRAM AND BLACK RHINO RESTORATION IN NAMIBIA, THE FOUNDATION HELPS FURTHER THE ZOO'S CONSERVATION FOOTPRINT.THE MINNESOTA ZOO FOUNDATION FUNDS SEVERAL SAVING ANIMALS FROM EXTINCTION (SAFE) PROGRAMS AND THE ZOO AND FOUNDATION CO-HOST THE TIGER CONSERVATION CAMPAIGN, BOTH PROGRAMS WITH THE NATIONAL ASSOCIATION OF ZOOS AND AQUARIUMS. SUPPORTING THESE FIELD CONSERVATION PROGRAMS FURTHERS OUR WILDLIFE-SAVING IMPACT AROUND THE WORLD.THE MINNESOTA ZOO FOUNDATION HELPS TO FUND FOUR PAID INTERNSHIPS THAT SUPPORT PRAIRIE BUTTERFLY, FRESHWATER TURTLE, AND FRESHWATER MUSSEL CONSERVATION PROGRAMS AT THE ZOO. THE SUPPORT FROM THESE INTERNS ALLOWS OUR CONSERVATION BIOLOGISTS TO FOCUS ON HIGHER-LEVEL PROJECTS AND PRIORITIES THAT HELP US RAISE THE BAR FOR EXCELLENCE IN OUR CONSERVATION WORK.
