“There are multiple categories of members, each of which carries electronic access to the journal of the society, the right to vote in society elections, and all other privileges of membership. All members in good standing have voting rights. The member and associate member in a family shall have separate votes.”

“Not less than six months prior to an election, the president shall appoint a nominating committee of three members. The committee shall be chaired by the senior member. It is the duty of the committee, after receiving the membership proposals for each office, except for the offices of executive vice-president, treasurer, and secretary, for each of which a single nomination shall be made, and the office of the editor of the journal, who shall run unopposed and be nominated by an independent search committee. In selecting candidates, due consideration shall be given to representation of the various fields of interest to the society. The committee shall transmit its nominations to the secretary at least three months prior to the election.”

“A copy of form 990 is reviewed by the treasurer. Changes, if any, are incorporated and the return is finalized for submission to the irs. A copy of the return is then made available to the rest of the council.”

“Conflicts of interest must be disclosed to the council by the person in conflict as soon as they are aware of them. The council may then decide to allow the conflict or approve an alternative action that avoids the conflict, or mitigates it. Councilors or officers for whom a conflict exists must recuse themselves from voting on the matter. In addition, all councilors and officers must sign a disclosure of all conflicts of interest annually and update it if changes to the disclosure are needed.”
