“The board and officers have all signed an annual compliance affidavit indicating that they are in compliance with the museum's written conflict of interest policy. The broad purpose of which is to cover transactions that the organization is contemplating which might benefit the private interests of any director or officer of the organization or might result in a possible excess beneit transaction. Pursuant to the policy, officers and directors are required to annually disclose interests that could give rise to a conflict. The organization's board of directors or a committee will review any potential conflict transaction and make a decision based on whether the transaction is in the best interest of the organization. The interested person will not be permitted to be present at, or participate in the board or committee meeting while the potential conflict transaction is discussed and voted upon. Minutes of the board's or committee's deliberations and decisons will be filed in the organization's records. In addition, the organization has a whistleblower and a document retention and destruction policy.”
