Governance Explanations

Form 990, Part VI, Section B, line 11B

A copy of the Form 990 was distributed to all board members via email prior to filing. The Fiscal Strategy committee met prior to the Board meeting to discuss the completed Form 990 prior to filing. Board members were asked to confirm receipt of the Form 990 and to provide comments and questions. Board members approved filing of the Form 990 at the April/May 2017 board meeting prior to filing.

Form 990, Part VI, Section B, line 12C

The President/CEO maintains information on potential conflicts of interest with members of the board and key employees. He updates this information throughout the year. If questions related to a potential conflict arise, a discussion that excludes the individual or company with the potential conflict is held at the next board meeting before any financial decisions are made or related activity begins.

A meeting of the Executive Committee is held to discuss compensation of the President/CEO. During the meeting proposed compensation is compared to other similar area not-for-profit organizations. Information is also obtained from Habitat for Humanity International. Discussions and decisions are documented in a letter to the CFO.

The Organization accounts for uncertain tax positions in accordance with the provisions of Financial Accounting Standards Board ("FASB") Codification topic 740 Income Taxes. Income Taxes clarifies the accounting for uncertainty in income taxes and requires the Organization to recognize in their financial statements the impact of a tax position taken or expected to be taken in a tax return, if that position is more likely than not to be sustained under audit, based on the technical merits of the position. Management has assessed the tax positions of the Organization and determined that no positions exist that require adjustment or disclosure in the financial statements.
