Governance Explanations

Form 990, Part VI, Section A, Line 1A

Per the organization's bylaws, the board of directors may be represented between meetings by an executive committee with full authority to conduct required business. The executive committee shall consist of the elected officers of the board of directors and members at large appointed by the board chairperson. The executive board shall also act as the personnel committee.

Form 990, Part VI, Section B, Line 11B

The board of directors meets to review form 990 before it is filed with the internal revenue service. All questions and comments are addressed at that meeting, and all changes arising from the meeting are reflected in the final filed return.

Form 990, Part VI, Section B, Line 12

The board of directors is required to annually disclose any and all interests that could give rise to conflict. All potential conflicts are reviewed at executive board meetings to determine whether an actual conflict exists, in both fact and appearance. If, and when, it is determined that one of the board members has a conflict of interest, that board member abstains from voting on any issues regarding the entity with which the conflict exists.

The agency uses the budgetary basis of accounting, as prescribed or permitted by the kansas department for aging and disability services.

Financial Statement Notes

PART X, LINE 2:

The agency is exempt from federal income taxes on related income under section 501(a) of the internal revenue code (irc), as an agency described in irc section 501(c)(3). Further, the agency has been classified as an agency that is not a private foundation under irc section 509(a) and, as such, contributions to the agency qualify for deduction as charitable contributions. However, income generated from activities unrelated to the agency's exempt purpose is subject to tax under irc section 511. The agency did not have any material unrelated business income tax liability for the years ended september 30, 2025 and 2024. Financial reporting practices prescribed or permitted by the kansas department for aging and disability services prescribe the accounting for uncertainty in income taxes and a recognition threshold an measurement attribute for the financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return. There was no effect on the financial statements as a result of adopting this interpretation as the agency believes it does not have any material uncertain tax positions reflected in its financial statements.
