Governance Explanations

Form 990, Part VI, Section A, Line 6

Article iv of the association bylaws describes membership as open to those pharmacists licensed to practice pharmacy in kansas and a "mission membership" category that is open to individuals supporting the goals and objectives of the association.

Form 990, Part VI, Section A, Line 7A

The process that requires that "a call for nominations" letter will be published in the association newsletter and on the association's website at least 60 days before the annual meeting. A ballot of nominees is posted on the association's website. Association members in good standing are eligible to vote and will have 15 calendar days in which to cast a ballot. Members may vote electronically or submit a paper ballot postmarked no later than 15 calendar days before the annual meeting. At the end of the election period, the president-elect shall count the number of votes for each nominee. He or she may enlist the assistance of an ad hoc committee appointed by the president to perform this task.

Form 990, Part VI, Section A, Line 7B

The governing body approves governance decisions.

Form 990, Part VI, Section A, Line 8B

There are no committees in the association authorized to act on behalf of the governing body.

Form 990, Part VI, Section B, Line 11B

A completed form 990 is scanned at the association's office. Distribution is made electronically to all of the governing body prior to a board meeting. Governing body members are asked to read the completed 990 thoroughly prior to the meeting date and to present any questions they may have, preferably in advance of the board meeting. Questions or concerns are addressed in front of the entire board at the review.

Form 990, Part VI, Section B, Line 12C

On an annual basis, normally at the first meeting of the year, each member of the board is asked to review and sign the conflict of interest policy.

Form 990, Part VI, Section B, Line 15

All salaries are set based on data and salary reports from the kansas society of assocation executives and reviewed annually or biannually.

Form 990, Part VI, Section C, Line 19

Documents are available upon request.
