“The chief executive officer of the corporation provides the final form 990 to the board of directors before filing the return. Directors review the form. They may request or recommend a correction to it. If a director requests or recommends a correction prior to filing, the chief executive officer, in consultation with other officers if necessary, determines if a correction is warranted and makes it prior to filing. If a director's request or recommendation for correction is received after filing, the chief executive officer, in consultation with other officers if necessary, determines if the correction is warranted. If warranted, the corporation files an amended form 990 return.”

“The policy requires directors to disclose potential or actual conflicts of interest at the beginning of their terms and annually thereafter. The secretary reviews the corporation's conflict of interest policy and procedures with new directors. The chair reviews any disclosures proffered at that time and determines whether a conflict could exist. If so, the chair notifies the board of directors of the new director's potential or actual conflict prior to any discussion or action taken on the matter in which there may be or is a conflict. All directors are reminded of the conflict of interest policy and procedure annually. The policy requires directors to disclose any potential or actual conflicts of interest annually by completing an attestation form. Additionally, directors must disclose potential or actual conflicts to the chair or the full body if a potential or actual conflict arises at any point during their term of service. The director themselves or the chair brings the potential or actual conflict to the full body in advance of taking any action on the matter in which the conflict may or does exist. Either the director voluntarily recuses themselves from the action or the full body requires the director to recuse themselves from action on the matter.”

“The corporation has a board-approved policy on chief executive officer compensation. The policy requires the board of directors to establish periodically a committee of directors or other independent persons to conduct a compensation comparability review. The committee develops a compensation range for the chief executive officer position. The committee reports its recommended compensation range to the board of directors. The full body follows the recommendation when establishing the specific compensation of the chief executive officer position.”

“Peace Through Action USA makes its governing documents, policies, financial statements, and Form 990 returns available for public inspection by posting them on the corporation's website. The corporation also fulfills any direct requests for documents by providing them as attachments to email messages or by sending printed copies through U.S. mail.”
