No action shall be taken by the board of directors unless authorized by the vote of a majority of the community directors and a majority of uab institution directors present at the time of such vote. The presence of at least one-third in number of the community directors in office and at least three (3) of the uab institution directors shall constitute a quorum for the conduct of business.”

Copies of the final version of the form 990 are emailed to the board of directors prior to filing with the irs. In addition, the filed form 990 will be made available at the next scheduled board meeting.”

“The conflict of interest (coi) policy covers all board directors of the foundation's board of directors (board). The coi policy outlines "duty to disclose" procedures which require all board directors to disclose any transaction involving interested persons with potential financial interests to the board prior to the transaction being entered into. Violations of the coi policy will be discussed by the board and the responsible director will be given the opportunity to explain the alleged failure to disclose. If a failure to disclose is confirmed, the board shall take appropriate discilplinary and corrective action.”
