Part VI, Section A, Line 4

The athletics foundation had a revision to the by-laws which both increased the total allowable number of board of directors from 25 to 75 members and created two director designations. The group of directors made up of the uab president, the chancellor of the university of alabama system (or his or her designee), the two (2) trustees and the uab senior executive shall be collectively known as the "uab institution directors". The other directors shall be known as the "community directors". At a minimum, the board of directors shall consist of the five (5) uab institution directors. The by-law revision resulted in an actual increase in directors in fiscal year 2020 from 22 to 57 directors. The 57 directors comprised of six (6) uab institution directors and 51 community directors.

Part VI, Section A, Lines 7A & 7B

Line 7a: the board of trustees has the power to appointment members of the board of directors. Line 7b: all corporate powers of the foundation shall be exercised by or under the authority of, and the business affairs of the foundation, shall be managed under the direction of the board of directors. No action shall be taken by the board of directors unless authorized by the vote of a majority of the community directors and a majority of uab institution directors present at the time of such vote. The presence of at least one-third in number of the community directors in office and at least three (3) of the uab institution directors shall constitute a quorum for the conduct of business.

Part VI, Section B, Line 11B

The form 990 is reviewed by thomas brannan (a foundation officer), prior to filing with the irs. Copies of the final version of the form 990 are emailed to the board of directors prior to filing with the irs. In addition, the filed form 990 will be made available at the next scheduled board meeting.

Part VI, Section B, Line 12C

The conflict of interest (coi) policy covers all board directors of the foundation's board of directors (board). The coi policy outlines "duty to disclose" procedures which require all board directors to disclose any transaction involving interested persons with potential financial interests to the board prior to the transaction being entered into. Violations of the coi policy will be discussed by the board and the responsible director will be given the opportunity to explain the alleged failure to disclose. If a failure to disclose is confirmed, the board shall take appropriate discilplinary and corrective action.

Part I, Line 1 - Mission Statement

To promote and encourage a continuing interest in and loyalty to the intercollegiate athletic program at the university of birmingham, birmingham, alabama (hereinafter the "university"); to support the staff of the university's department of athletics in their efforts to coordinate, develop, maintain, and improve a superior intercollegiate athletics program at the university; to promote, encourage and support the construction, improvement and renovation of first class, high quality athletic facilities on the university's campus and elsewhere as the same may be lawfully located; to encourage alumni and friends of the university to generously support the university and its athletic department by gifts, devices and bequests; to organize and promote one or more funds for the use and benefit of the university's athletic department and this foundation; to support, promote, and encourage the education of university students; to provide and contribute to scholarship funding to the university for the universitys student-athletes, both men and women, in all of the universitys intercollegiate sports; and to conduct any and all appropriate activities, in accordance with the national collegiate athletic association and conference usa policies on institutional control, in order to accomplish the above objects and purposes.
