From capital to coaching and from operations to mentorship, we tailor our support to the individual needs of each organization in our family. Dan graham is on the board of acf. He is also on the board and exec committee of the notley fund, which is a supporting org that acf controls. Dan, his wife and father-in-law are all board members of notley and are not considered independent directors. The independent board members are 4 directors appointed by acf. Dan and his wife also own a for profit company called notley ventures. Mid to late 2017, notley fund changed its staffing and began a shared services agreement with notley ventures. There are employees that work just for notley fund and there are also notley ventures employees that spend time working for notley fund, so notley ventures charges notley fund for the services. The services, include accounting, financial reporting, tax work, development, marketing, management and other similar services.

Each director, principal officer and member of a committee with governing board delegated powers shall annually sign a statement which affirms such person: has received a copy of the conflicts of interest policy, has read and understands the policy, has agreed to comply with the policy. An interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the governing board or committee shall determine whether the corporation can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the corporation's best interest, for its own benefit, and whether it is fair and reasonable . In conformity with the above determination it shall make its decision as to whether to enter into the transaction or arrangement.

Financial Statement Notes

PART X, LINE 2:

The foundation is exempt from federal income taxes under section 501(c)(3) of the internal revenue code. Unrelated business income, of which the foundation had no significant amounts for the years ended december 31, 2017 and 2016, is subject to federal income taxes. Accordingly, there is no provision or liability for federal income taxes in the accompanying financial statements. The foundation recognizes the tax benefits from uncertain tax positions only if it is more likely than not that the tax positions will be sustained on examination by the taxing authorities, based on the technical merits of the positions. The tax benefits recognized in the consolidated financial statements from such positions are measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. The foundation files informational returns in the u.s. Federal jurisdiction. With few exceptions, the foundation is no longer subject to u.s. Federal tax examinations by tax authorities for years prior to 2014.
