The conflict of interest policy was adopted by the board of directors of the organization through board resolution. Annually, each director, officer, and key employee will review the policy and sign a statement that they have received the policies and procedures, have read and understand the policies and procedures, agree to comply, and disclose any affiliations with any actual or potential qalicb grantee or borrower or any other organization with which the qalicb may have financial relationship. After exercising due diligence, qalicb board will determine if transaction in conflict is in qalicb's best interest and whether fair and reasonable to qalicb, and then approve or reject the transaction in question.

PART X, LINE 2:

The organization is a tax-exempt organization under internal revenue code (irc) section 501(c)(3) and the applicable section of the california revenue and taxation code. Management evaluated the organization's tax positions and concluded that the organization had maintained its tax-exempt status and had not taken uncertain tax positions that required adjustment to the consolidated financial statements. Therefore, no provision or liability for income taxes has been included in the consildated financial statements.
