Form 990, Page 6, Part VI, Line 12C

Each member of the board of directors, grant/financial review committees and other designated persons shall sign a conflict of interest form before intitiating their duties, agreeing to disclose any conflict of interest should the occasion arise. Each person who is required to sign a conflict of interest shall do so annually. If a member of the board of directors, grant/financial review committees or designated person has a conflict of interest in any matter, such person shall refrain from participating in deliberations, discussions, or decision relating to the proposed transaction. No person with a conflict of interest shall vote on any matter relating to the transaction nor should such person be present to vote the matter. Any member who has disclosed a conflict of interest may however vote at the annual award meeting for purposes of identifying that year's final grant recipient. Any person who fails to comply with the conflict of interest policy may be removed or terminated from their position on the board, committee, or designated position at the discretion of the board of directors.
