“This policy applies to members of the board of directors, the staff, and certain volunteers of the organization. Whenever there is reason to believe that an actual or potential conflict of interest exists between rainbow place shelter and an interested party, the board of directors determines the appropriate organizational response. This includes, but is not necessarily limited to, invoking the procedures described below with respect to a specific proposed action or transaction. If the board of directors has reason to believe that an interested party has failed to disclose an actual or potential conflict of interest, the board informs the person of the basis for that belief and provides an opportunity to explain the alleged failure to disclose. After hearing the response of the interested party and conducting any further investigation warranted under the circumstances, if the board determines that the interested party did, in fact, fail to disclose an actual or possible conflict of interest, the board will take appropriate disciplinary and corrective action.”

“The organization utilizes a compensation committee comprised of three directors who meet annually to determine compensation of all employees based on local market wages known to the directors, who in turn make recommendations to the organizations board of directors. This committee records minutes of its meeting and the recommendations are ultimately accepted or modified by the board of directors when the budget is adopted or amended by the board of directors. The top management official's last compensation review took place in july 2025.”
