Governance Explanations

Form 990, Part VI, Section A, Line 4

The organization updated its legal name from the consortium for on-board optics to the advanced photonics coalition. The governing documents were reviewed and updated by legal representation and adopted by the board of directors unanimously.

Form 990, Part VI, Section A, Line 6

Membership comes from companies signing the organization's membership application and upon payment of membership dues. All members of the organization agree to abide by the policies and governing documents of the organization. There are currently two classes of members including steering members and associate members. Steering members pay a higher fee, gain board seats and a vote on officers elections specifically.

Form 990, Part VI, Section A, Line 7A

Members may elect associate directors, per the organization bylaws. Steering directors hold the authority to vote on officers of the organization.

Form 990, Part VI, Section B, Line 11B

Before filing, the form 990 will be emailed to the board of directors, and high-level review will be performed on the board of directors monthly call. Minutes of this call will be recorded and circulated.

Form 990, Part VI, Section B, Line 12C

The policy applies to any director or officer of the corporation or member of any committee of the corporation's board of directors that has authority to act on behalf of the board of directors, and those employees of the corporation, if any, who may be designated by the president of the corporation. Each person covered by the policy completes an annual conflict of interest questionnaire. They must also disclose all actual and potential conflicts both in the annual questionnaire and as they arise during the time he or she is covered by the policy. If there is a conflict of interest the interested person must recuse himself/herself from voting on any transaction or arrangement in which he/she has a potential or actual conflict of interest, and will not be present when any such vote is taken. The president discloses to the board of directors all conflicts of interest reported to him or her. The board of directors evaluate the disclosures to determine whether they involve actual conflicts of interest and may attempt to develop alternatives to remove the conflict from the situation.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents available on its website. The conflict of interest policy and financial statements are made available to the public upon request.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt0THE NUMBER OF VOLUNTEERS IS EQUAL TO THE TOTAL NUMBER OF BOARD DIRECTORS. OUR VOLUNTEERS RECEIVE NO BENEFITS OR SERVICES FOR THEIR TIME.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1THE ORGANIZATION UPDATED ITS LEGAL NAME FROM THE CONSORTIUM FOR ON-BOARD OPTICS TO THE ADVANCED PHOTONICS COALITION. THE GOVERNING DOCUMENTS WERE REVIEWED AND UPDATED BY LEGAL REPRESENTATION AND ADOPTED BY THE BOARD OF DIRECTORS UNANIMOUSLY.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt2MEMBERSHIP COMES FROM COMPANIES SIGNING THE ORGANIZATION'S MEMBERSHIP APPLICATION AND UPON PAYMENT OF MEMBERSHIP DUES.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt3MEMBERS MAY ELECT ASSOCIATE DIRECTORS, PER THE ORGANIZATION BYLAWS. STEERING DIRECTORS HOLD THE AUTHORITY TO VOTE ON OFFICERS OF THE ORGANIZATION.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt4BEFORE FILING, THE FORM 990 WILL BE EMAILED TO THE BOARD OF DIRECTORS, AND HIGH-LEVEL REVIEW WILL BE PERFORMED ON THE BOARD OF DIRECTORS MONTHLY CALL. MINUTES OF THIS CALL WILL BE RECORDED AND CIRCULATED.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt5THE POLICY APPLIES TO ANY DIRECTOR OR OFFICER OF THE CORPORATION OR MEMBER OF ANY COMMITTEE OF THE CORPORATION'S BOARD OF DIRECTORS THAT HAS AUTHORITY TO ACT ON BEHALF OF THE BOARD OF DIRECTORS, AND THOSE EMPLOYEES OF THE CORPORATION, IF ANY, WHO MAY BE DESIGNATED BY THE PRESIDENT OF THE CORPORATION.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt6THE ORGANIZATION MAKES ITS GOVERNING DOCUMENTS AVAILABLE ON ITS WEBSITE. THE CONFLICT OF INTEREST POLICY AND FINANCIAL STATEMENTS ARE MADE AVAILABLE TO THE PUBLIC UPON REQUEST.
