Governance Explanations

Form 990, Part VI, Section A, Line 7A

The board of directors shall be composed of not less than three members and not more than 10 members. The board of directors with the consent of scrmc shall submit names of nominees for appointment to the board. The board will consist of (i) 75% of the members who are current members of scrmc board of directors, and, (ii) 25% of the members from the community at large who have no direct affiliation with scrmc.

The process of reviewing the form 990 entails a detailed review by the cfo and by the accounting department. The governing body reviews and approves the form 990 and the final form 990 including requested schedules, as ultimately filed with the irs, are provided to each voting member of the organization's governing body prior to filing.

Form 990, Part VI, Section B, Line 12C

Members of the board of directors, board committees, and medical center leadership sign a conflict of interest statement on initial appointment or employment and annually thereafter. The written conflict of interest policy is regularly and consistently monitored and compliance enforced by the department head of board/administration. The scope of this policy includes board of directors, board committees, administrative staff, employees, and medical staff. The policy is in place to avoid conflicts of interest or the appearance of conflicts between personal interests and one's official responsibilities and performance of duties on behalf of the medical center. The covered persons are to avoid being placed in a position for personal profit, either through money, goods, or influence from the conducting of medical center responsibilities. A self disclosure from covered persons to the integrity officer is required on any potential conflicts of interest. The covered persons are to refuse from participating in any deliberation or decisions on such transactions.

Financial Statement Notes

PART X, LINE 2:

Accounting principles generally accepted in the united states of america require management to evaluate tax positions taken by the medical center and recognize a tax liability if the medical center has taken an uncertain position that more likely than not would not be sustained upon examination by various federal and state taxing authorities. Management has analyzed the tax positions taken by the medical center, and has concluded that as of june 30, 2018 and 2017, there are no uncertain positions taken or expected to be taken that would require recognition of a liability or disclosure in the accompanying financial statements. The medical center is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress.
