The organization uses the services of griffin partners for management and leasing of tenant office space. They hire and manage employees who work in the building. They also create an annual budget and monthly financial reports for the building's operations.

Likewise, the organizations bylaws were amended and restated during the taxable year to reflect this restructuring. Enclosed are true and correct copies of the certificates issued by the texas secretary of state in order to effectuate the above described restructuring. Erf tower ii, inc. Remains organized and operated for the exclusive purpose of holding title to property, collecting income therefrom, and turning over the entire amount thereof, less expenses, to erf real estate, inc., a 501 (c)(2) title holding company, at least annually, all of which are activities described in section 501(c)(2) of the code. Under the two-tier structure implemented during the taxable year, the income that erf tower ii, inc. Distributes to erf real estate, inc. Is, in turn, distributed by erf real estate, inc. THE OFFICE BUILDING LEASES TO MULTIPLE TENANTS INCLUDING THE ED RACHAL FOUNDATION. THE FOUNDATION'S LEASE FOR OFFICE SPACE WAS ENTERED INTO PRIOR TO THE ORGANIZATION'S ACQUISITION OF THE REAL ESTATE. THE FOUNDATION PAYS AN APPROPRIATE MAEKET RATE OF RENT TO THE ORGANIZATION FOR THE SPACE THAT IT OCCUPIES. AS A RESULT OF ITS RESTRUCTURING DURING THE TAXABLE YEAR, AT THE END OF THE FISCAL YEAR, ERF TOWER II, INC. TRANSFERS ANY INCOME PRODUCED TO ERF REAL ESTATE, INC. THE ORGANIZATION REMAINS ORGANIZED AND OPERATED FOR THE EXCLUSIVE PURPOSE OF HOLDING TITLE TO REAL ESTATE, COLLECTING THE INCOME THEREFROM, AND TURNING OVER THE INCOME LESS EXPENSES TO AN ORGANIZATION DESCRIBED UNDER SECTION 501(A) OF THE INTERNAL REVENUE CODE.
