“The updates to the bylaws include defining and formalizing the corporate name, expanding the explanation of the purpose of the organization, describing actions that take effect upon dissolution, updating voting rights and reserved powers, updating number of board members, adding two ex officio directors from the sole corporate member, putting limitations on the number of board members who may be substantial contributors, adding term limits for board members, and updating the corporate officers of the organization. The articles of incorporation were updated appropriately to reflect changes in the bylaws.”

“Gift of hope organ & tissue donor network shall be illinois transplant fund's sole corporate member. Gift of hope organ & tissue donor network shall have such rights, privileges and obligations conferred upon it by illinois transplant fund's articles of incorporation, illinois transplant fund's bylaws and the act.”

“Gift of hope organ & tissue donor network, "the member" may elect such directors to serve on illinois transplant fund's board from time to time as it deems necessary or advisable. The member shall elect the illinois transplant fund's board at the annual meeting of the member.”

“Any vacancy or vacancies occurring in a director position may be filled until the next meeting at which directors are then elected by the member. Any director may be removed at any time with or without cause by the member.”

“Illinois transplant fund management reviewed the 990. An additional detailed review was conducted by the organization's treasurer, management and a representative from the organization's audit and tax firm. The 990 was distributed to all board members prior to filing.”

“On an annual basis, illinois transplant fund requests written confirmation of any conflicts from all officers and directors. On a continual basis, management monitors and reviews any changes to the disclosures which may create a conflict of interest. Any disclosed conflicts are reviewed by management.”

“Documents are made available to the public upon request for the same period of disclosure as set forth in irc section 6104(d).”

“The articles of incorporation are publicly available from the illinois secretary of state's office. Illinois transplant fund reviews any request for release of the conflict of interest statement, financial statements or governing documents. The final decision for releasing the document(s) to the public is the responsibility of the chair.”
