Governance Explanations

East Mountain Health Physicians, Inc. has delegated management duties of human resources, quality control, medical information and financial operations.

Form 990, Part VI, Section A, Line 6

The members have certain reserved powers as set forth in the applicable corporate bylaws. Directors of the corporation shall be limited to health professionals duly licensed to practice medicine in the State of West Virginia and engaged in the independent practice of medicine as a private office practice.

East Mountain Health Physicians members have the power to elect or appoint members of the Corporate Board of Directors.

Form 990, Part VI, Section A, Line 7B

Members shall have the power to elect members or remove members from the Corporate Board of Directors, with or without cause. Members also have the power to consent to the amendment or restatement of the Articles of Incorporation.

Form 990, Part VI, Section B, Line 11B

The 990 is prepared by an accountant of the management company and reviewed by an outside accounting firm, who is the paid preparer. The return is then reviewed by the EMHP assigned accountant. Further, the board reviews the 990 prior to filing where any issues of concern or question are addressed by the paid preparer or leased tax accountant.

Form 990, Part VI, Section B, Line 12C

All board members sign a conflict of interest policy annually and upon appointment to the board. All managers or officers of the management company, that have purchasing rights with defined limits, or may enter into a contract on behalf of the organization are required to sign a conflict of interest attestation upon employment and annually. All individuals employed by the management company can report breaches in policy. The management company has an employee integrity hotline and a compliance officer. Any infractions can result in disciplinary action or dismissal. Any trustee, officer or mangement company employee that discloses a conflict of interest will leave a board meeting on a transaction or arrangement that would be related to the potential conflict. With conflicts of interest the chair of the board will appoint a person or committee (if appropriate) to investigate alternatives to the proposed arrangement.

Financial Statement Notes

Part X : FIN48 Footnote

The Company is a not-for-profit corporation as described in Section 501(c)(3) of the Internal Revenue Code (Code) and is recognized as tax exempt under 501(a) of the Code. Accordingly, no provision for income taxes has been provided.The Company follows the guidance for uncertainty in income taxes recognized in the Companys financial statements that prescribes a recognition threshold of more-likely-than-not to be sustained upon examination by the appropriate taxing authority. Measurement of the tax uncertainty occurs if the recognition threshold has been met.The Companys policy is to recognize interest related to unrecognized tax benefits in interest expense and penalties in operating expenses. There were no interest or penalties recognized on the statements of operations in 2024 or 2023. Generally, tax returns for years ended December 31, 2021, and thereafter remain subject to examination by federal and state tax authorities.

Accordingly, no provision for income taxes has been provided.The Company follows the guidance for uncertainty in income taxes recognized in the Companys financial statements that prescribes a recognition threshold of more-likely-than-not to be sustained upon examination by the appropriate taxing authority. Measurement of the tax uncertainty occurs if the recognition threshold has been met.The Companys policy is to recognize interest related to unrecognized tax benefits in interest expense and penalties in operating expenses. There were no interest or penalties recognized on the statements of operations in 2024 or 2023. Generally, tax returns for years ended December 31, 2021, and thereafter remain subject to examination by federal and state tax authorities.

The return is then reviewed by the EMHP assigned accountant. Further, the board reviews the 990 prior to filing where any issues of concern or question are addressed by the paid preparer or leased tax accountant.

All managers or officers of the management company, that have purchasing rights with defined limits, or may enter into a contract on behalf of the organization are required to sign a conflict of interest attestation upon employment and annually. All individuals employed by the management company can report breaches in policy. The management company has an employee integrity hotline and a compliance officer. Any infractions can result in disciplinary action or dismissal. Any trustee, officer or mangement company employee that discloses a conflict of interest will leave a board meeting on a transaction or arrangement that would be related to the potential conflict. With conflicts of interest the chair of the board will appoint a person or committee (if appropriate) to investigate alternatives to the proposed arrangement.
