“The board of directors is comprised of one 'class a' director with the balance of the directors serving as 'class b' directors. The class a director must be present to constitute a quorum, unless the class a director's recusal is required by law or corporate policy. Each director is entitled to one vote. Any act of the board of directors requires the affirmative vote of both the class a director and a majority of the class b directors present at a meeting at which a quorum is present, except as otherwise provided in the bylaws. Pici does have an executive committee. It has all the authority of the board of directors between regular and special meetings, except as otherwise provided in the bylaws or by the board of directors in specific instances. Actions of the executive committee are reported to and reviewed by the board of directors at its next regularly scheduled meeting.”

If a transaction arises where there is a conflict of interest, the person with such conflict is not allowed to vote on the transaction nor be present for such vote. The conflict of interest policy covers each director, corporate officer, top management official, top financial official and each key employee of pici, and others that pici may identify.”
