“The organization welcomed 152 vendors to the market, who collectively earned over 728,545.60 during the 20 market days. Our nonprofit program was also a success, featuring 23 local nonprofits. We continued our sponsorship program, successfully promoting 20 different local businesses as market sponsors. We expanded our education program, with 6 local businesses leading educational initiatives on 15 market days. Throughout the season, we were thrilled to greet 40,617 attendees from near and far. Columbia falls high school art students contributed beautifully, showcasing their artwork on four posters and our sponsor trailer, giving our market a unique local flair. The opportunity for our community to more conveniently live a farm-to- table lifestyle is beyond exciting the market space provides ample parking for vendors and attendees, a safely-enclosed but open-air selling space, a central music stage and dance floor, food court, excellent curb appeal and plenty of visibility.”
“The organization is in continued litigation regarding the related transactions as previously reported by the organization on schedule o. On november 27, 2024, the judge entered an order granting summary judgment in favor of the byrd against the organizations claims for misappropriation of funds due to the statute of limitations passing. Due to limited resources, the organization did not appeal the judges determination. The organization came under new leadership in june 2020. Prior to that date, the organization was run and operated without a board, to the extent of the organization's knowledge. Rather, the sole leadership was the founder, o'brien byrd along with his wife, melanie byrd. When new leadership for the organization reviewed the past books and records, it identified several transactions between the organization and the byrds or one of their entities, both o'brien's liquor store and three byrds properties, llc. On information and belief, the organization understands the byrds owned at least a 35% interest in these entities at the time of the transactions between the organization and the related llcs. The byrds used organization funds to make improvements to real property held by the byrds through both three byrds and o'brien's liquor store. This was discovered through the organizations retention of legal and tax professionals to review the organization's past transactions. The organization has attempted to coordinate resolution of these issues with the byrds' conduct since late 2022, as well as to provide the byrds and the related entities the opportunity to reimburse the organization. The organization runs a community market located on property owned by the byrd llcs currently, and it entered into a new arms-length lease in early 2021 and updated in 2022.”

ON NOVEMBER 27, 2024, THE JUDGE ENTERED AN ORDER GRANTING SUMMARY JUDGMENT IN FAVOR OF THE BYRD AGAINST THE ORGANIZATIONS CLAIMS FOR MISAPPROPRIATION OF FUNDS DUE TO THE STATUTE OF LIMITATIONS PASSING. DUE TO LIMITED RESOURCES, THE ORGANIZATION DID NOT APPEAL THE JUDGES DETERMINATION. THE ORGANIZATION CAME UNDER NEW LEADERSHIP IN JUNE 2020. PRIOR TO THAT DATE, THE ORGANIZATION WAS RUN AND OPERATED WITHOUT A BOARD, TO THE EXTENT OF THE ORGANIZATION'S KNOWLEDGE. RATHER, THE SOLE LEADERSHIP WAS THE FOUNDER, O'BRIEN BYRD ALONG WITH HIS WIFE, MELANIE BYRD. WHEN NEW LEADERSHIP FOR THE ORGANIZATION REVIEWED THE PAST BOOKS AND RECORDS, IT IDENTIFIED SEVERAL TRANSACTIONS BETWEEN THE ORGANIZATION AND THE BYRDS OR ONE OF THEIR ENTITIES, BOTH O'BRIEN'S LIQUOR STORE AND THREE BYRDS PROPERTIES, LLC. ON INFORMATION AND BELIEF, THE ORGANIZATION UNDERSTANDS THE BYRDS OWNED AT LEAST A 35% INTEREST IN THESE ENTITIES AT THE TIME OF THE TRANSACTIONS BETWEEN THE ORGANIZATION AND THE RELATED LLCS. THE BYRDS USED ORGANIZATION FUNDS TO MAKE IMPROVEMENTS TO REAL PROPERTY HELD BY THE BYRDS THROUGH BOTH THREE BYRDS AND O'BRIEN'S LIQUOR STORE. THIS WAS DISCOVERED THROUGH THE ORGANIZATIONS RETENTION OF LEGAL AND TAX PROFESSIONALS TO REVIEW THE ORGANIZATION'S PAST TRANSACTIONS. THE ORGANIZATION HAS ATTEMPTED TO COORDINATE RESOLUTION OF THESE ISSUES WITH THE BYRDS' CONDUCT SINCE LATE 2022, AS WELL AS TO PROVIDE THE BYRDS AND THE RELATED ENTITIES THE OPPORTUNITY TO REIMBURSE THE ORGANIZATION. THE ORGANIZATION RUNS A COMMUNITY MARKET LOCATED ON PROPERTY OWNED BY THE BYRD LLCS CURRENTLY, AND IT ENTERED INTO A NEW ARMS-LENGTH LEASE IN EARLY 2021 AND UPDATED IN 2022. |
