The finance committee of the board of directors of the organization (the "board") will obtain research and information to make a recommendation to the full board for reasonable compensation (salary and benefits) of executives. The compensation committee will secure data that documents compensation levels and benefits for similarly qualified individuals in comparable positions at similar organizations. If the compensation committee does not have data as to comparability, it shall document the other bases for its determination that the proposed compensation is reasonable. The compensation committee must document how it reached its decisions, including the data on which it relied, in minutes of meetings during which the compensation was considered for recommendation to the board. Documentation will include: -a description of the compensation and benefits and the date approved -the members of the board and other persons who were present during the discussion about compensation and benefits, and the results of the vote; -a description of the comparability data relied upon and how the data was obtained; and -any actions taken (such as abstaining from discussion and vote) with respect to consideration of the compensation by anyone who is otherwise a member of the board but who had a conflict of interest with respect to the decision on compensation and benefits. The board shall review and approve executive compensation, after a review of comparability data and other evidence regarding the reasonability of compensation presented to it by the finance committee, and shall contemporaneously substantiate its deliberation and the bases of its decision in the minutes. Only those directors who are free of conflicts of interest may vote on executive compensation.

Access to instruments (ati) program: provides access to the instrument that a beginning student needs to participate in band or orchestra. Our innovative model serves families of all financial means and pricing is based on need. The "partner plan" is open to all families with a near market monthly rental rate that helps subsidize other plans. The "reduced plan" is a monthly rental at a greatly reduced cost. It is open to families receiving any kind of nutrition assistance such as free/reduced lunch, snap, etc. The "gift of music plan" is an option for families meeting further income and household size qualifications. It has a small application fee, but no monthly rental payments. Both the partner and reduced plans are month to month rent to own contracts that can be cancelled and returned any time. The gift of music plan can be renewed each school year. All plans include our repair and maintenance (ramp) at no additional cost.

IT IS OPEN TO FAMILIES RECEIVING ANY KIND OF NUTRITION ASSISTANCE SUCH AS FREE/REDUCED LUNCH, SNAP, ETC. THE "GIFT OF MUSIC PLAN" IS AN OPTION FOR FAMILIES MEETING FURTHER INCOME AND HOUSEHOLD SIZE QUALIFICATIONS. IT HAS A SMALL APPLICATION FEE, BUT NO MONTHLY RENTAL PAYMENTS. BOTH THE PARTNER AND REDUCED PLANS ARE MONTH TO MONTH RENT TO OWN CONTRACTS THAT CAN BE CANCELLED AND RETURNED ANY TIME. THE GIFT OF MUSIC PLAN CAN BE RENEWED EACH SCHOOL YEAR. IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt5THE FINANCE COMMITTEE OF THE BOARD OF DIRECTORS OF THE ORGANIZATION (THE "BOARD") WILL OBTAIN RESEARCH AND INFORMATION TO MAKE A RECOMMENDATION TO THE FULL BOARD FOR REASONABLE COMPENSATION (SALARY AND BENEFITS) OF EXECUTIVES, OFFICERS, AND KEY EMPLOYEES. THE COMPENSATION COMMITTEE WILL SECURE DATA THAT DOCUMENTS COMPENSATION LEVELS AND BENEFITS FOR SIMILARLY QUALIFIED INDIVIDUALS IN COMPARABLE POSITIONS AT SIMILAR ORGANIZATIONS. IF THE COMPENSATION COMMITTEE DOES NOT HAVE DATA AS TO COMPARABILITY, IT SHALL DOCUMENT THE OTHER BASES FOR ITS DETERMINATION THAT THE PROPOSED COMPENSATION IS REASONABLE. THE COMPENSATION COMMITTEE MUST DOCUMENT HOW IT REACHED ITS DECISIONS, INCLUDING THE DATA ON WHICH IT RELIED, IN MINUTES OF MEETINGS DURING WHICH THE COMPENSATION WAS CONSIDERED FOR RECOMMENDATION TO THE BOARD. DOCUMENTATION WILL INCLUDE: -A DESCRIPTION OF THE COMPENSATION AND BENEFITS AND THE DATE APPROVED; -THE MEMBERS OF THE BOARD AND OTHER PERSONS WHO WERE PRESENT DURING THE DISCUSSION ABOUT COMPENSATION AND BENEFITS, AND THE RESULTS OF THE VOTE; -A DESCRIPTION OF THE COMPARABILITY DATA RELIED UPON AND HOW THE DATA WAS OBTAINED; AND -ANY ACTIONS TAKEN (SUCH AS ABSTAINING FROM DISCUSSION AND VOTE) WITH RESPECT TO CONSIDERATION OF THE COMPENSATION BY ANYONE WHO IS OTHERWISE A MEMBER OF THE BOARD BUT WHO HAD A CONFLICT OF INTEREST WITH RESPECT TO THE DECISION ON COMPENSATION AND BENEFITS. THE BOARD SHALL REVIEW AND APPROVE EXECUTIVE COMPENSATION, AFTER A REVIEW OF COMPARABILITY DATA AND OTHER EVIDENCE REGARDING THE REASONABILITY OF COMPENSATION PRESENTED TO IT BY THE FINANCE COMMITTEE, AND SHALL CONTEMPORANEOUSLY SUBSTANTIATE ITS DELIBERATION AND THE BASES OF ITS DECISION IN THE MINUTES. ONLY THOSE DIRECTORS WHO ARE FREE OF CONFLICTS OF INTEREST MAY VOTE ON EXECUTIVE COMPENSATION.
