Form 990, Part VI, Section A, Line 1A

The organization's bylaws permit an executive committee to transact emergency business transactions between board meetings. The executive committee would consist of the officers of the board and up to two more directors.

The chief medical officer is an independent contractor compensated through a 1099. The chief medical officer has decision-making authority over clinical processes. During the fiscal year ended september 30, 2024, the cmo was paid $50,921 for these services.

The bylaws were amended in june 2024 (a) to eliminate the limitation on board terms and (b) to allow board members to be related to challis area health center and/or north custer hospital district employees, provided that they disclose such relationship and recuse themselves from discussions impacting those relatives.

Prior to filing, the form 990 was provided to the governing board at a board meeting for their review and approval.

The conflict of interest policy covers all employees and board members. Any potential conflicts should be disclosed to the board. If there is a potential conflict, the board may invite the individual with the conflict to briefly state a position on the matter and answer pertinent questions of the board; however, the individual must abstain from voting on the issue. The board will review and determine if a conflict does exist.

The board of directors, which operates independently from the health center's employees, establishes pay ranges for all employees, including management staff. The pay ranges are based on comparability data from a biannual regional healthcare compensation survey. The board discusses and approves the process for establishing pay ranges annually at a regular board meeting. The biannual compensation survey was last published in 2024 and compensation was last reviewed in may 2024.

The authority and process for selecting the independent accountant to audit the financial statements and for overseeing the financial statement audit did not change during the fiscal year.

Financial Statement Notes

PART X, LINE 2:

The cahc is a charitable organization under the state of idaho tax regulations and under 501(c)(3) of the internal revenue code and is exempt from state or local income taxes. The cahc is required to file a return of organization exempt from income tax (form 990) with the internal revenue service (irs) annually. In addition, the cahc is subject to income tax on net income that is derived from business activities that are unrelated to its exempt purpose. The cahc has determined it is not subject to unrelated business income tax and has not filed an exempt organization business income tax return (form 990t) with the irs. The cahc believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The cahc would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.
