Governance Explanations

Form 990, Part VI, Line 11B: Form 990 Review Process

Procedure for Preparation and Review of Form 990. The Organizations Executive Director is responsible for the timely preparation of the Form 990. The Organizations Executive Director may confer with accountants and legal counsel of the Organization with respect to drafts of the Form 990. Copies of the completed Form 990 (including required schedules) will also be reviewed by the Treasurer. Any questions or concerns will be noted and addressed, and the Executive Director shall ensure that any appropriate changes are incorporated into the Form 990, which then shall be signed by the Executive Director or other authorized officer of the Organization.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

EMPLOYEES SIGN A FORM ANNUALLY THAT STATES THE FOLLOWING: "Upon or before my hiring, election or appointment, and annually thereafter, I will complete a Conflicts of Interest Certification disclosing any interests, relationships and holdings that constitute or could potentially result in a conflict of interest. Thriving in Place will keep this written disclosure on file, and I will update it as appropriate."

Form 990, Part VI, Line 15B: Compensation Review and Approval Process for Officers and Key Employees

The Thriving in Place Board will review the compensation of the Executive Director and other top management officials on at least an annual basis. The salaries shall be compared to equivalent organizations based on location, mission, budget size, job description and demands, and other germane factors. Based on the analysis, the Board shall decide whether each key employee's compensation is appropriate. Such analysis shall be documented and filed in the Corporation's records.

Fundraising efforts are conducted primarily by fiscal sponsees, therefore Thriving in Place does not incur fundraising expenses associated with fiscal sponsee grants.

Part V, Line 1

For calendar year 2019, compensation paid to an officer of Thriving in Place was reported on a Form 1099 filed by the San Francisco In-Home Supportive Services Public Authority, EIN #68-0376444, a related entity. The SF IHSS PA had advanced the funds for this compensation in 2019, and this was accrued and subsequently repaid by Thriving in Place.

Part XII, Line 1, Basis of Accounting

During the year ended 7/31/2020, the organization converted from a cash basis to an accrual basis of accounting.

The Organizations Executive Director is responsible for the timely preparation of the Form 990. The Organizations Executive Director may confer with accountants and legal counsel of the Organization with respect to drafts of the Form 990. Copies of the completed Form 990 (including required schedules) will also be reviewed by the Treasurer. Any questions or concerns will be noted and addressed, and the Executive Director shall ensure that any appropriate changes are incorporated into the Form 990, which then shall be signed by the Executive Director or other authorized officer of the Organization.
