“Dib-isao shall have two classes of members: full members and associate members. The full members shall be those corporate entities that execute a full member membership agreement with dib-isao. Companies that have operational responsibility for the protection of department of defense (dod) assets and information and intellectual property of the dod and private sector companies shall be eligible to serve as full members. The associate members shall be those corporate entities and individuals that execute an associate member membership agreement with dib-isao. Corporations, organizations, and individuals who are supportive of the mission of dib-isao but do not otherwise qualify as full members shall be eligible to serve as associate members.”

“Each full member shall be entitled to one vote on the election of directors of dib-isao. Associate members shall not have voting rights.”

“It is the policy of dib-isao that all voting members of the board of directors shall be provided a final copy of the draft form 990 prior to filing with the internal revenue service. Additionally, an executive council of the board of directors comprised of the chair, vice chair, and treasurer shall review the draft form 990, specifically ensuring that areas related to the dib-isao mission and significant activities, financial health, executive compensation, and expenses are thoroughly and accurately captured. This executive council shall provide feedback, as necessary, in the final preparation of the federal form 990 and shall, as necessary, relay any pertinent information back to the full board regarding the council's review.”

“In connection with any actual or possible financial conflicts of interest or dual interest, an interested person must disclose the existence of his or her financial interest or dual interest and all material facts to the board of directors or members of committees considering the proposed transaction or arrangement or interest. The disclosure required by this section shall be in writing, on a form prescribed by the board, and shall be submitted no less frequently than annually. Disclosure forms shall be updated on an interim basis by the interested person whenever there has been a material change in the underlying facts and circumstances. When the potential for, or appearance of, a conflict or duality of interest arises, any director or dib-isao executive staff member may request a review of the matter by the board, which may delegate the review to a board committee.”
