“The organization has a contract with redfern resources, inc for management services, including supervising, planning and executing the financial operations and exempt functions of the organization. Redfern resources, inc employs ed redfern, who is the executive director for the bus coalition. For calendar year 2023, ed's portion of compensation and benefits from redfern resources that related to his services for the bus coalition totaled 72,000.”

“During the year, the bus coalition, inc. Amended their bylaws to update the number of board of directors. The board of directors shall consist of up to 21 coalition members. No other significant changes were made to the bylaws in 2023.”

“The organization has the following classes of membership: member - any public or quasi-public entity who is a recipient or sub- recipient of federal funds and legally authorized to contract for or provide public transit services which includes bus service within its geographic area of a jurisdiction, such as a public transit agency, county, city, or town, may become a member of the coalition upon payment of dues. The voting representative at general membership meetings shall be the transit general manager or their designee, of any member. Associate member - any person, firm, private corporation or nonprofit corporation, commercial or civic club, or other organization having an interest in public transportation and pledging to support the mission statement set forth in the bylaws may become an associate member of this coalition upon application, under rules and regulations adopted by the board. Such associate members shall have the individual rights as established by the board except the right to vote and hold office.”

“Members vote for the board of directors at the annual meeting. Additional or alternative nominations for consideration may be submitted by the members at the meeting.”

“The bylaws may be amended only by vote of three-fifths of the total membership at any regular meeting or at any special meeting called for that purpose.”

“Any member of the bus coalition (tbc) board of directors, any of its committees or staff shall disclose to tbc any personal interests that he or she may have in any matter pending before the tbc and shall refrain from participation in any decision on such matter. Any member of tbc board who is an officer, board member, a committee member or staff member of any other related organization shall identify his or her affiliation with such agency or agencies; further, in connection with any committee or board action specifically directed to that agency, he/she shall not participate in the decision affecting that agency and the decision must be made and/or ratified by the full board. Annually, the board of directors reviews and discloses any potential conflicts of interest.”

“The public is able to view the organization's articles of incorporation, bylaws, conflict of interest policy, financial statements, and tax returns upon request. These documents are available for the same period of time as described in internal revenue code section 6104 (d) for other public disclosure documents.”
