Governance Explanations

Form 990 governing body review Part VI line 11

Organizations process to review Form 990 is that the governing body reviews the 990 first via email prior to the next physical board meeting. At the meeting, each board member is asked to affirm that they have read the 990, understand it, and have no further questions once they have previously engaged in satisfying any questions they may have had. The minutes then reflect that all board members have read and understand the 990.

Conflict of interest policy compliance Part VI line 12C

The governing body has a policy regarding conflicts of interest. This policy is reviewed annually by the board. Enforcement occurs in having reconciliations and approvals over minor amounts being handled by disinterested members of the board. Material amounts are totally prohibited.

The governing body sets the salary primarily for the Executive Director. The Executive Directors salary is determined annually by what peer organizations pay their executive director and what is reasonable for such a role in our local context. The Executive Director is not a voting member of the board and thus has no say in setting the salary. There are no employee compensations approaching $100,000 annually.

Total shelter nights provided were 21,303. Of those who exited, 64% of singles and 75% of families moved out to housing. 72% of guests had stable monthly income, with 60% employed and 46% of those employed working full-time.
