Governance Explanations

Form 990, Part VI, Section A, Line 8B

There are no committees of the board.

Form 990, Part VI, Section B, Line 11B

The draft 990 was prepared by the outside accountants and reviewed by senior management. The draft 990 will be sent to the board members for review and comment. The final 990 will be sent to the entire board before filing with the irs.

Form 990, Part VI, Section B, Line 12C

All employees are required to sign a conflict-of-interest form at the beginning of employment and on an annual basis. A binder with these forms is kept in the executive director's office. All board of directors' members are asked to sign the conflict-of-interest form at the beginning of the fiscal year. Race and equality requires that employees' relationships with other individuals and organizations be conducted in a transparent and professional manner. If there is a possibility of a conflict, employees consult the executive director before engaging in the activity. Violation of personnel policies (re: conflict of interest) results in disciplinary action, up to and including termination of employment.

Form 990, Part VI, Section B, Line 15A

The executive director's salary was determined using comparable data by the board. The last time the compensation determination process was undertaken was august of 2024. This salary is at or below the market rate. Salaries for the other employees are approved by the board. No salary exceeds the market rate.

Form 990, Part VI, Section C, Line 19

The organization's financial statements, governing documents and conflict of interest policy are available upon request.

Financial Statement Notes

PART X, LINE 2:

The organization is generally exempt from federal income taxes under section 501(c)(3) of the internal revenue code, though it is subject to tax on income unrelated to its exempt purpose unless that income is otherwise excluded by the code. In addition, the organization qualifies for charitable contribution deductions and has been classified as an organization that is not a private foundation. No provision for income taxes is required for the year ended december 31, 2024. The tax years ended december 31, 2021 through 2023 remain open for review for both federal and state purposes, and they have not been extended beyond the applicable statute of limitations. The organization has processes in place to ensure the maintenance of its tax-exempt status; to identify and report unrelated income; to determine its filing and tax obligations in jurisdictions for which it has nexus; and to identify and evaluate other matters that may be considered tax positions. The organization has determined that there are no material uncertain tax positions that require recognition or disclosure in the financial statements.
