Governance Explanations

The organization's director of finance reviews and discusses the form 990 with an outside cpa firm that specializes in nonprofit taxation. A complete form 990, including all schedules, is provided to the board for its review prior to the filing of the return.

Form 990, Part VI, Section B, Line 12C

The organization has a conflict of interest policy. Under the policy "interested persons" include any director, principal officer, or member of a committee with governing board delegated powers, who has a direct or indirect financial interest, directly or indirectly, through business, investment, or family: 1) ownership or investment interest in any entity with which the organization has a transaction or arrangement, 2) a compensation arrangement with the organization or with any entity or individual with which the organization has a transaction or arrangement, or 3) a potential ownership or investment interest in, or compensation arrangement with any entity or individual with which the organization is negotiating a transaction or arrangement. All interested persons are required to annually complete the corporation's conflict of interest disclosure. In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. Determining whether a conflict of interest exists: after disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. The chairperson of the governing board of committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the governing board or committee shall determine whether the organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the organization's best interest, for its own benefit, and whether it is fair and reasonable.

Form 990, Part VI, Section B, Line 15

The organization has a process for reviewing and approving the compensation of the ceo, officers, and key employees in advance and on a regular basis, to determine it is fair and reasonable with the goal of retaining employees at compensation levels within appropriate market range. The governance committee makes recommendations to the board of directors with respect to the compensation packages, with all persons with a conflict of interest abstaining from the deliberation and discussion. The board relies on a compensation survey report in determining market rate compensation package recommendations. The compensation survey report considers data from similarly qualified persons in functionally comparable positions at similarly situated organizations. The minutes adequately and timely document the basis for the board's determination concurrently with making that determination. The documentation of the board includes the terms of the transaction and the date of approval, the members who were present during the debate and vote on the transaction, a description of the comparable data and how it was obtained, and documentation of the basis for the determination.

Financial Statement Notes

PART X, LINE 2:

The organization is exempt from taxation under internal revenue code ("irc") section 501(c)(3) and california revenue and taxation code section 23701d and is generally not subject to income taxes. Accordingly, a provision for federal or state income taxes is not recorded in the accompanying financial statements. The organization is further classified as a public charity pursuant to irc sections 509(a)(1) and 170(b)(1)(a)(iii). However, the organization is subject to income taxes on any net income that is derived from a trade or business activity, regularly carried on, and not in furtherance of the purposes for which it was granted exemption. No income tax provision has been recorded as the net income, if any, from any unrelated trade or business, in the opinion of management, is not material to the financial statements taken as a whole. In accordance with financial accounting standards board ("fasb"), accounting standards codification ("asc") topic no. 740, uncertainty in income taxes, the organization recognizes the impact of tax positions in the financial statements if that position is more-likely-than-not to be sustained on audit, based on the technical merits of the position. The organization has evaluated its tax positions and the certainty as to whether those positions will be sustained in the event of an audit by taxing authorities at the federal and state levels. The primary tax positions evaluated relate to the organization's continued qualification as a tax-exempt entity and material income tax liability. Management has determined that all income tax positions will more-likely-than-not be sustained upon potential audit or examination. Therefore, no disclosures of uncertain income tax positions are required. The organization's tax returns remain subject to examination generally for three and four years after they were filed for federal and state, respectively.
