Form 990, Part VI, Section B, Line 12C

Board members meet quarterly to discuss conflict of interest issues. If the governing board determines that a conflict of interest does exist, the conflicted person will leave the discussion of, and vote on, the transaction or arrangement involving the conflict of interest. The governing board will investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the governing board will make its decision regarding the conflict of interest transaction or agreement. If a violation of the conflict of interest policy is discovered, the offending board member will be afforded the opportunity to explain their failure to disclose the conflict. The governing board will then take appropriate disciplinary and corrective action against the offending member.
