“The 2024 Form 990 was discussed at the March 2025 board meeting, in a discussion led by Executive Director Emily Baxter. The draft 990 and schedules were distributed by e-mail to the board members, and board members were asked to review and comment by a set date. The Director of Operations, Christina Szitta, incorporated any comments. The Executive Director files the completed 990 after all board members have had the opportunity to review and comment on the final draft.”

“New board members are informed of the conflicts of interest policy during the onboarding process. The policy is included in the online Board of Directors handbook, and the board holds an annual discussion of the conflicts of interest policy during the January board meeting. Board members are reminded periodically of their obligations under the conflicts of interest policy.”

“The hard of directors sets the executive director's compensation with reference to similar size organizations in Minnesota, the executive director's expertise, users of experience, and education, and the executive director's responsibilities, as well as cost of living increases. The proposed salary was discussed by the executive committee and reviewed and confirmed at the January 2024 board meeting. The discussion, information relied upon, and decision are memorialized in the board meeting minutes.”

“Governing documents, including the conflicts of interest policy in the bylaws, and financial statements are available to the public upon request to the Secretary or the Director of Operations.”
