The officers of the cencora impact foundation are also officers and employees of cencora, inc. In addition, a majority of the officers of cencora impact foundation are also officers of the cencora team assistance fund (the supported tax-exempt organization).

The organization has one member, cencora team assistance fund, a 501(c)(3) organization classified as a public charity under section 509(a)(1) of the code.

Form 990, Part VI, Section B, Line 11B

The form 990 is initially prepared by the organization's accounting firm. It is then reviewed for accuracy by the corporate controller for cencora inc. Corrections, if any, are made and a final draft is provided electronically to each member of the governing body. Questions/comments from the board are addressed at the january meeting and any changes necessary are made prior to filing the form with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy ("policy") of cencora impact foundation (the organization") is applicable to all current officers and directors ("covered persons"). The policy applies to transactions or other arrangements in which the personal or financial interests of a covered person may appear to be advanced by an action of the organization, or otherwise whenever a covered person's personal or financial interests could be reasonably viewed as affecting his or her objectivity or independence in fulfilling his or her duties to the organization. When a covered person becomes aware of a possible covered transaction, he or she shall have a duty to take the following actions: (a) immediately disclose the existence and all material facts of the possible covered transaction to the chair of the board of directors (in the case of directors or the president) or the president (in the case of officers); (b) refrain from using his or her personal influence to encourage entering into the covered transaction; and (c) physically excuse himself or herself from participation in any discussion regarding the covered transaction with officers, direstors, and employees of the organization, except to respond to requests for information. In order to assist the organization in identifying potential covered transactions, each covered person who currently serves as an officer, director or key employee annually shall complete and sign a conflict of interest declaration provided by the organization and shall update such declaration as neccessary to reflect changes during the course of the year.

Financial Statement Notes

PART X, LINE 2:

The cencora team assistance fund and the cencora impact foundation are exempt from federal income taxes under section 501(c)(3) of the internal revenue and the laws of the states in which they operate. The fund had no unrecognized tax benefits which would require an adjustment to the beginning balances of net assets and had no unrecognized tax benefits at september 30, 2025 and 2024. The fund files an exempt organization return in the u.s. Federal jurisdiction and the necessary forms with the appropriate authorities in the states in which it operates. The fund is not aware of any transactions that would affect its tax-exempt status.
