Governance Explanations

Form 990, Page 6, Part VI, Line 6

Those firms eligible for membership in the corporation are firms that manufacture motor vehicles for use by the general public that are sold in the united states and achieve sales in the united states in excess of 10,000 units anually. Nonprofit organizations supporting the goals of the corporation may be invited to become associate members of the corporation if approved by the board of directors. Associate members will have all the rights and responsibilities of members.

Form 990, Page 6, Part VI, Line 7A

Any member of the corporation shall designate one or more individuals ("representative member") to serve as the member's representative in meetings and to be eligible to serve as a director. The board of directors shall consist of not less than three (3) nor more than fifteen (15) persons elected by the board at its annual meeting for three (3) year terms. The board of directors shall select persons to be elected so that the board of directors includes one person employed by each member. Terms shall be staggered so that the terms of approximately one-third of the directors expire each year.

Form 990, Page 6, Part VI, Line 11B

The 990 is reviewed by the treasurer before it is signed and filed.

Form 990, Page 6, Part VI, Line 12C

The corporate policy on conflicts of interest defines types of conflicts and requires any member of the board of directors to report to the board any actual or potential conflict of interest. The disinterested members of the board determine whether a conflict of interest exists and appropriate action to take, if any. In addition, the treasurer reviews all proposed transactions of the corporation for possible conflicts of interest.
