A draft form 990 is prepared by an independent accounting firm, which is then reviewed by the executive director; adjustments are made, as necessary. The complete form 990 is then reviewed with the governing body of the board of directors.

Form 990, Part VI, Section B, Line 12C

The organization has a conflict of interest policy that applies to interested persons including clinic board members, officers, directors, employees, contracted providers, consultants and those who furnish goods or services to the organization. A conflict of interest is defined as a financial, personal, or professional interest, direct or indirect, in a business entity which has the potential to influence a covered individual's perspective of a business or professional transaction, with the potential to adversely affect or conflict with beverlycare's best interest. Beverlycare interested persons are prohibited from participating in the selection, award, or administration of contracts, including but not limited to, those supported by federal funds, if a real or apparent conflict of interest would be involved. Such a conflict would arise when the beverlycare interested person or that person's close relative, or any individual, group, or organization to which the person associated with beverlycare has allegiance, has a financial or other interest in the firm selected for an award. The prohibition does not apply to situations in which the financial interest is not substantial, for example an ownership interest of less than 5 percent of outstanding securities of public corporations. Whenever the executive director/chief executive officer or any board member has a conflict of interest or a perceived conflict of interest with beverlycare, he or she shall notify the full board of such conflict in writing using the annual certification form. When any conflict of interest is relevant to a matter that comes under consideration or requires action by the board, or a board committee, the interested person shall call it to the attention of the board chair and shall not be present during board or committee discussion or decision on the matter. However, that person shall provide the board or applicable committee with any and all relevant information on the particular matter. The minutes of the meeting of the board or its committee shall reflect that the conflict of interest was disclosed, that the interested was not present during discussion or decision on the matter and did not vote. Whenever any interested person who is not also a board member of the chief executive officer has a conflict of interest or a perceived conflict of interest with beverlycare, he or she shall notify the chief executive officer of such conflict in writing. Whenever the executive director/ceo or any board member has a conflict of interest with beverlycare, beverlycare shall notify its respective federal agency of such conflict in writing. Violations of the policy by interested persons excluding board members may, depending on the severity of the violation, be subject to oral admonishment, written reprimand, reassignment, demotion, suspension or separation. Violations by interested persons who are also board members may, depending on the severity of the violation, be subject to oral admonishment or removal from their position. As administered by the executive director/chief executive officer, each board member is asked to complete a certification agreement with the conflict of interest policy and disclose any known conflicts of interest upon his or her election or re-election to the board and annually thereafter. The board as appropriate shall review all board member certifications. As administered by the employee in charge of human resources, all interested persons that are not board members will be required to complete a certification upon his or her employment or engagement with beverlycare and updated at least annually or as deemed necessary.

Compensation for the executive director was set at the same compensation received from her previous employer, beverly community hospital association. Beverly community hospital associaon utilized comparability data to determine the executive director's compensation in her then existing position (which is similar to her current role); however, no review or approval of the executive director's compensation by independent persons has been completed yet in relation to her duties at beverlycare.

Financial Statement Notes

PART X, LINE 2:

The organization is a tax-exempt organization under section 501(c)(3) of the internal revenue code (the "code") and the corresponding provisions of the california revenue and taxation code. Accordingly, no provision for income taxes is included in the accompanying financial statements. The organization is subject, however, to federal and california income taxes on unrelated business income as stipulated in the code. The organization has evaluated its tax positions and the certainty as to whether those positions will be sustained in the event of an audit by taxing authorities at the federal and state levels. The primary tax positions evaluated relate to the organization's continued qualification as a tax-exempt organization and whether there are unrelated business income activities that would be taxable. Management has determined that all income tax positions will more likely than not be sustained upon potential audit or examination; therefore, no disclosures of uncertain income tax positions are required. As of june 30, 2021, information returns subsequent to 2016 filed by the organization are subject to examination by the taxing authorities.
