Form 990 and accompanying schedules are prepared internally and then provided to the organization's board of directors. The board of directors review form 990 and accompanying schedules prior to filing with the internal revenue service center.

Form 990, Part VI, Line 12C Conflict of interest policy

The Board has adopted a conflicts of interest policy and regularly reviews the required disclosures of potential conflicts of interest by the Directors and Officers of the organization and its affiliates and recommends any action to be taken with regard to such disclosures. In accordance with the conflicts of interest policy, during meetings of the organization's governing body, a director who may have a conflict of interest is excused from discussion by the governing body about any transaction or matter that may have given rise to the director's actual or potential conflict of interest.

Form 990, Part VI, Line 15A Process to establish compensation of top management official

Coastal community health, inc. Follows the executive compensation policy of baptist health system, inc. (bhs), a related entity. In accordance with the executive compensation policy of bhs, the leadership & compensation committee (the committee) of bhs (made up of independent directors of bhs) annually engages a third party executive compensation consultant who provides comparables for executive compensation based on current data regarding compensation paid to similar executives at similarly-situated tax exempt health systems in the u.s. Such consultant uses these comparable health systems , which are generally the same size as bhs (considering revenue and other appropriate indicators), to establish an appropriate market. When the committee meets with such consultant, the consultant provides to committee members executive compensation target levels that are competitive with the market. Generally, the median of the market is targeted. The actual amount that bhs executives receive as compensation may be higher or lower than the median, depending on bhs's and the individual's performance. One objective of the committee is to have a strong link between bhs and individual performance and executive compensation such that if bhs and the individual perform at an optimal level, his or her compensation is in the higher range of the market. Conversely, if either bhs or individual performance is below expectation, compensation may be in the lower range of the market. Other factors that influence executive compensation relative to the market include the executive's experience and bhs's need to attract and retain top executive talent. Minutes of this annual compensation review by the committee are recorded by such consultant and are approved promptly by the chair of the committee.

IRS990/Desc0The regional affiliation of Baptist Health System, Inc., Jacksonville, Florida (FEIN 59-2487136) and Southeast Georgia Health System, Inc., Brunswick, GA (FEIN 58-1911751) was created to be able to accomplish certain things together, like improve clinical quality and overall patient care, share best practices, reduce healthcare costs, save money on supply chain purchases, and address pediatric health in the communities served. Some of the initiatives that were continued or developed during this tax year include the following: Pediatric- The group established the NFL Play 60 program, which addresses childhood obesity and overall physical fitness, in all the primary service counties. Also, Kid Fit, a program addressing healthy lifestyle choices and exercise, was implemented in Glynn County, GA and in Duval County, FL. Quality- the affiliates began sharing best practices to work to lower the incidents of hospital acquired infections. Tele-Health Consultations- these consultations began running for tele-stroke, tele-neurology, and tele-pediatrics programs between Baptist Health and Southeast Georgia Health System. Disaster Planning- the affiliates implement the applicable portions of their mutual aid agreements during times of disaster. IT - The collaboration efforts between the affiliate partners continued across topics of aligned technologies and interests to improve service and cost savings between the organizations. This is included an extensive partnership discussion surround the Epic electronic health record application set within Baptist Health System, cybersecurity guidance, the impact to IT staffing, business operations and an overall cost model for deployment and support. The session also included contracting guidance and opportunities for pricing improvement along with evaluation of shared staffing opportunities. The teams continue to share on common platforms impacting both organizations, such as ERP, HCM and FM. Supply Chain- The affiliates implemented contracts for supplies that created approximately $10.4 million in cumulative annual savings. Human Resources- the affiliates worked to secure non-medical benefits and direct cost-savings to employees across the two health systems.
