Governance Explanations

Form 990, Part VI, Section A, Line 1A

The governing body has delegated broad authority to an executive committee. The responsibilities and requirements of the executive committee include: 1. Shall consist of the officers and committee chairpersons. 2. Act as the administrative head of heart for winter haven. 3. Take care of necessary legal matters. 4. Prepare corporate documents, and present them to the full board for approval. 5. Carry out necessary functions of the board which need to be dealt with between board meetings. 6. Serve as the by-law review committee. 7. At the end of the year review and evaluate general activity and progress of the board.

The form 990 is reviewed by the officers of the organization and then emailed to the entire board for review before being filed with the irs.

Form 990, Part VI, Section B, Line 12C

This policy has been adopted to inform the board member, provide for annual reviews, and control related party transactions in order to rigorously avoid conflicts of interest. In the event that transactions of related interest occur or are proposed, this policy provides that: 1. All proposed transactions be reported to the board and be approved in advance. 2. The board records demonstrate that the transaction is truly in the best interest of the organization, as provided by a competitive bid or comparative valuation, and that it does not violate state law. 3. The related party be excused during the process of board deliberation, other than to respond to questions, and abstain from voting. 4. The board performs an annual review for potential and known related party transactions through annual conflict of interest questionnaires to be completed by each board member, officer, and senior management of the corporation, including related entities. 5. Controls are established to ensure that normal corporate controls and accountability are maintained. In some cases, this may involve the assignment of another board member to act on behalf of the organization in dealing with the transactions.
