Governance Explanations

Form 990, Part VI, Section A, Line 1A

Each board has an executive committee. The executive committee consists of the officers of the board plus the chief executive officer of the corporation and such other directors as the chair may nominate from time to time for appointment by a majority vote of the entire board. Between meetings of the board, and to the extent permitted by law, the executive committee shall possess the powers of the board with respect to managing and conducting the affairs of the corporation, except as otherwise provided by law or within certain by-laws.

Form 990, Part VI, Section A, Line 7A

In accordance with the terms and requirements of its governing documents (i.e. By-laws), the organization's directors are divided into three classes, and the classes serve for staggered three-year terms. At each annual meeting, directors in a class are elected by a majority vote of the directors then in office. Directors are elected from among nominees chosen by the board's governance and nominating committee.

Prior to filing, a copy of the form 990 is provided to, and reviewed with, all members of the audit and compliance committee. This review is performed in consultation with the organization's tax advisors, and is based on the organization's audited financial statements and other relevant information for the appropriate time period.

Upon employment, all employees receive the ethical standard of conduct booklet for which they sign a receipt of acknowledgement. Conflict of interest education is conducted annually for all employees. Conflict of interest is defined, as is management of a conflict of interest. Employees are required to disclose and seek resolution to any actual or potential conflict of interest before taking a potentially improper action. Annually, each key employee, director and officer of the organization is required to complete a conflict of interest disclosure form, providing management with sufficient information about his/her personal interests and relationships so that management can: (1) determine whether any actual or perceived conflict of interest exists, and (2) monitor work assignments to avoid placing the key employee or officer in a position where there may be a question as to his/her objectivity as well as to avoid any appearance of impropriety. Throughout the year, key employees, officers and directors of the organization are also required to notify management promptly if any change to their disclosures occurs. In addition, each member of the board of directors must also complete a conflict of interest and disclosure form, which must be submitted to the general counsel. Board members leave the room during discussions and abstain from voting when they have a conflict of interest.

Rochester regional health (rochester regional/rrh) (i.e. The parent organization and its related affiliates) is an integrated health system rooted in community, serving together to uplift humanity through compassionate care for the people of rochester, the finger lakes region, and new york state's north country. Through robust investments in people, facilities, and technology in each community we serve, rochester regional stands out for its ability to bring the highest quality care close to home. Across western new york, the finger lakes, st. Lawrence county and beyond, rrh proudly serves the community through its nine hospitals providing inpatient, advanced and critical care; hundreds of outpatient specialty, urgent care and primary care practices; behavioral health and chemical dependency treatment centers; innovative and comforting senior services; compassionate home care and hospice care programs; and laboratories, including specialized clinical trial and toxicology testing facilities. Rochester regional has a nationally recognized heart program and a nationally accredited cancer center, and offers patients many of the same leading edge treatment options found at the country's finest medical centers. From surgery to orthopedics, women's health to emergency care, people all across western ny and nys's north country turn to rochester regional for their experience, compassion and expertise in helping them get back to living their lives. Poverty trends, community health research and needs assessments are reviewed on a regular basis while planning community health programs. Rochester regional representatives are actively engaged in various community health collaborations with the local health departments, state health department, and local not-for-profit health and human service agencies, and actively work to respond to community priorities and develop programs and services that fill a gap or supplement an existing program. Most rochester regional community health outreach programs are offered in partnership with other community organizations or governmental agencies, in order to leverage resources to meet community needs. Information regarding the availability of community health programs, assistance with health insurance enrollment and financial assistance for medical care received at rochester regional hospitals, emergency departments, outpatient departments or long-term care facilities is disseminated to the public in electronic form on the organization's website. At rochester regional health, diversity, equity, inclusion and social justice are woven into the tapestry of our culture and health equity is our true north. Rrh is committed to fostering a diverse and inclusive environment where people from all backgrounds are included, valued, and respected. By establishing and maintaining community partnerships, rrh is leading efforts to cultivate an equitable and inclusive environment and deliver high-quality patient outcomes and experiences. The ymca portion boasts a brand-new aquatic center, group exercise studios, a wellness center with top-of-the-line fitness equipment, an indoor track, a teaching kitchen, and an adventure room play area for children. There are also a variety of family-friendly, innovative, intergenerational spaces where seniors, teens, and families can connect and thrive through collaborative activities. 2024 saw the reopening of urgent care- penfield. Rochester regional health urgent care providers and staff are available to diagnose and treat most non-life-threatening injuries and illnesses, in addition to offering a full line of occupational health services. Conditions include: abdominal pain, allergies, cold and flu symptoms, ear infections, headaches, sore throats, and urinary tract infections (uti). Additionally, orthopaedic urgent care at the henrietta medical campus opened in 2024. Ortho urgent care provides same-day care for unplanned injuries or ailments directly related to the body's bone, joint, and soft tissue structures with the flexibility to walk in or call to schedule an appointment. Rrh providers specialize in care for orthopaedic injuries and musculoskeletal issues, including: sprains/ strains, fractures, sports injuries, acute joint pain, injuries to the back, shoulder, knee, foot/ankle, and/or hand/wrist. Services include: x-ray, bracing, and casting. Virtual urgent care continues to be available 7 days a week for minor injuries and common illnesses from the comfort of the patient's home, or wherever they may be. Rochester regional is forging ahead on all fronts of a strategic plan whose purpose is to uplift humanity through care for the community with a vision to become a national model of health and healing. The four pillars of the strategic plan are as follows: strengthen our communities community partnership will grow trust with those we serve solidify rrh's position as a cornerstone of community health. In response to these challenges rrh responded by taking measures to ensure the safety of patients, team members and the broader community. The actions continued into 2024 and included: rochester regional continued to provide health and wellness education on multiple platforms including: social media, website, mycare patient portal, phone messaging, and e-newsletter. More specifically: o rrh's "health hive," an online portal of articles and helpful hints in dealing with a host of health related topics. During 2024, more than 115 articles were published. O rrh participated in over 300 news articles, special reports, and interviews over a variety of mediums including tv, radio and printed news articles. Additionally, rrh made over 2,500 social media posts across multiple platforms including facebook, instagram, twitter and linkedin. O the rochester regional health diversity, equity, inclusion and justice office hosted community conversations with various community and church groups. In honor of social work month, the rrh team is collecting the following items or similar to help our social workers support community members in need: diapers, formula, bed sheet sets, gift cards for pharmacies (rite aid, cvs, walgreens, etc.), gift cards for grocery stores (wegmans, walmart, tops, etc.), gift cards for transportation (uber, lyft), other non-perishable items, feminine hygiene products and baby monitors. Rrh celebrated women's history month and the "women who advocate for diversity, equity, and inclusion." events were held to recognize and celebrate both antonia novello, md, who was both the first woman and the first hispanic to serve as u.s. Surgeon general in 1990; and susie walking bear yellowtail's contributions to history and healthcare. Susie walking bear yellowtail, rn, was the first native american registered nurse. She was also the first native american nurse posthumously inducted into the american nursing association's hall of fame. The india heritage museum at the vinod and vinay luthra india heritage center proudly presents holistic harmony nurturing health and longevity. Two complementary exhibits will be showcased: plant-based living and the yoga of b.k.s. Iyengar. The event also includes a panel discussion featuring two rochester regional health physicians. Admission is free and open to the public. Participants learned about healthy plant-based eating and iyengar yoga through vibrant and informative displays, talks, demonstrations, and classes. In advance of the 2024 flower city challenge race, rrh's certified athletic trainer participated in a pre-race talk in conjunction with fleet feet rochester. This free event provided insights about how to train for a half marathon, understanding the ins and outs of nutrition as well as key points on mobility, stretching, hydration, and more. Various rrh providers participated in medicine minis from "the tiny trailblazer," a series of engaging brief interviews by a vibrant young interviewer passionate about our community and healthcare. These interviews shared insights into their provider roles, expertise, and exciting experiences. Sessions features included: a focus on the significance of maintaining a healthy heart; understanding urgent care and exploring the differences between urgent care, the hospital and more. Rochester regional health celebrated national minority health month under the theme of "be the source for better health: improving health outcomes through our cultures, communities, and connections," helps us understand how the unique environments, cultures, histories, and circumstances of social determinants of health (sdoh), racial, and ethnic minorities impact overall health. Throughout the month rrh leaned into our commitment to diversity, equity, inclusion, & justice by building awareness around health disparities that persist among racial and ethnic minority groups and encourage everyone to take action to end these inequities. Rochester regional health hosted middle and high school students from the university preparatory charter school for young men (uprep) for this year's men in healthcare event. The two-day event allowed students from uprep to get hands-on experience, including learning cpr. The event, organized by our diversity, equity, & inclusion team, allowed students to hear from industry professionals in nursing, research, and more and highlighted potential career opportunities in healthcare. Rrh was once again a key contributor and sponsor of the imagine rit: creativity & innovation festival. This event featured 350+ exhibits and 2,200+ exhibitors. Visitors of all ages experienced interactive presentations, hands-on demonstrations, exhibitions, performing arts, and research projects. The rrh exhibit included therapy dogs, led by rocdog; cpr instruction, and more in celebration of earth day 2024, rrh sponsored special activities across its locations, including tree sapling giveaways at each of the hospitals and an e-waste drop-off

Rochester regional health was a proud sponsor of the potsdam snack pack program back-to-school fair held in august at the potsdam high school. Team members were on hand to pass out branded items and share health-related information with children and parents. September is deaf awareness month. During this month rrh hosted events to highlight the culture rich in history, customs, and language. This month allowed rrh to highlight how d/deaf communities worldwide come together to celebrate, and bring awareness of deaf-related issues, their culture, and language unique to d/deaf and hard-of-hearing people. Rochester regional health celebrated national hispanic heritage month by recognizing the heritage, history, traditions, and cultural diversity of hispanic and latinx americans whose heritage is rooted in so many countries. Events included a display case in the riedman training center; the sharing of hispanic/latinx (cultural) recipes; and by hosting a hispanic heritage month event in october. Rochester regional health was a proud presenting sponsor of the 2024 making strides of rochester walk in october. Rochester regional health behavioral health team sponsored the american foundation for suicide prevention out of the darkness walk in october. This event supports efforts in the fight against suicide. Rochester regional health was a proud elite sponsor of the 23rd annual gouverneur breast & ovarian cancer walk. St. Lawrence has been an integral sponsor of this highly attended and important regional event for several years. Rochester regional health was a proud sponsor of the seaway valley prevention council's river run in ogdensburg. September is national recovery month, and a representative of the sl behavioral health team was there to promote and support recovery in st. Lawrence county. Rochester regional health team members participated in a family health & wellness fair in september. This free community event provided health-related information and services including blood pressure screenings, career information, and more. Rrh was proud to honor the legacy of gary smith, the heart behind the pirate toy fund. In partnership with his family, rochester regional health's hospice team collected toys to continue gary's mission of spreading joy to children in the greater rochester community. As part of lung cancer awareness month in november, rochester regional health shed light on the importance of early detection. Our lung cancer screening program offers quick, non-invasive scans at no out-of-pocket cost to those eligible. In honor of native american heritage month, the center for diversity, health equity, inclusion, and justice hosted an in-person witness to injustice program in collaboration with neighbors of the onondaga nation in november. Healthy moms held their annual family resource fair. The fair is a free community event that provides an opportunity for families to connect with community resources, get school supplies, and enter raffles for free giveaways. Nearly 500 backpacks were filled with donations from the community and throughout the system. Rrh hosted "wellness wednesdays" in conjunction with a local community center. Topics during the 2024 sessions included the following: o integrative medicine, wellness & pain management o live to 100 : secrets of the blue zones o pelvic health o indian cuisine with lifestyle medicine provider o expert optometrist & diabetic retinopathy o expert optometrist & cataracts & pbwf pot-luck o knee pain & what you need to know o harmony within: exploring the wonders of our gut microbiome & monthly pbwf pot-luck o tmj & headaches o finding joy as we age o you are what you eat: a twin experiment o hospice and palliative care o experience with medical missions o using wellness guidelines to build strength and remain independent o physical activity and its role in preventing/managing chronic disease o an updated look at menopausal health and wellness & plant-based potluck o stroke awarenes

Rgcohc is eager to provide this education through creative pathways and partnerships. The isabella graham hart school of practical nursing (ighspn) and rochester general college of health careers (rgcohc) achieved accreditation from the accreditation commission for education in nursing (acen). Acen is the leading authority in nursing education accreditation, whose goal is to support and strengthen the quality of nursing education. Ighspn achieved continuing accreditation through 2029 from acen. During 2024, rgcohc, with the assistance of a nys department of health grant, developed its associate of applied science (aas) surgical technology program. This program is a 64-credit and 57-60-weeks academic program that will lead students to an associate in applied science (aas) degree with a major in surgical technology and eligibility to sit for the national certification exam. Students will gain knowledge and skill competency through classroom and hands-on practice in a real-life surgical skills lab, followed by clinical rotations in inpatient and outpatient operating rooms throughout rochester regional health facilities. The rgcohc submitted the surgical technology program application to the new york state education department (nysed) in july 2024. The surgical technology program curriculum received approval from the nysed in november 2024. The college has applied for program accreditation from abhes december 2024. Abhes accepted the application for initial program accreditation review january 2025. Additionally in 2024, rgcohc developed an associate of applied science (aas) radiologic technology program. This program is a 68-credit residential program that ranges between 69-75 weeks based on length of the summer session courses which may be 12 or 15 weeks. Newark-wayne community hospital's emergency department achieved bronze standard from the american college of emergency physicians. This bronze standard a level 3 geda accreditation, from the american college of emergency physicians (acep) and is now recognized as a geriatric emergency department. This accreditation means nwch's ed has a competitive advantage through an enhanced reputation for delivering excellent geriatric patient care. Nwch team members were excited to welcome local high school students from across the region to give them hands-on experience in various fields of healthcare. Students participated in activities covering everything from emergency care to rehab therapies, and even got an inside look at a mercy flight helicopter. Clifton springs hospital and clinic (cshc) is a 262-bed dnv-accredited community hospital and nursing home located in the village of clifton springs, ny which provides a level of technology consistent with that of large urban hospitals. The newly opened rob and pamela sands emergency department is part of rrh's ongoing mission to provide the highest quality patient care and to best serve the residents of the finger lakes region. The department is staffed around the clock by licensed physicians, providing community members the care they need and deserve right where they want it, close to home. Newly designed to accommodate an increase in patients seeking treatment and to provide a better, safer experience for all, the unit includes a spacious waiting room, larger acute patient rooms with space for surge if necessary, dedicated triage rooms to help improve flow of patients, advanced trauma care technology, enhanced decontamination room, and better lighting with stronger security. An adjacent helipad allows for high-acuity transfers to regional trauma centers as needed. For those struggling with a mental health crisis, cshc offers a comprehensive psychiatric emergency program (cpep) providing emergency and crisis psychiatric services to people living in the finger lakes region. The cpep unit includes safe, private and comfortable evaluation and consultation rooms, psychiatric patient rooms, and psychiatric extended observation rooms. Cshc's cpep also staffs a mobile crisis team who can meet patients within ontario, wayne, seneca and yates counties. In addition, the springs of clifton is an integrated health care program, combining both conventional and alternative/complementary medicine. Complementary therapies support the maintenance of health and well-being and the process of healing and include acupuncture, chiropractic services, hydrotherapy, massage therapy, naturopathy, chinese medicine, qi gong, herbology, and reiki therapeutic touch. Both rrh and slh have traditions of providing high quality, compassionate careand together, in 2024 they continued to bring about important technological integration milestones. Accolades and activity of the st. Lawrence health region in 2024 included the following: the slh clinical and rural health research department held a free event open to the public that shone a spotlight on the transformative power of clinical research in rural healthcare. Clinical research initiatives are bridging the gap in healthcare access, enhancing treatment options, and improving outcomes for rural communities. Hydration, nutritious snacks, and prizes were provided. Slh participated in the month long cancer survivors' event in june 2024. Slh donated gift baskets and gift cards to the event. Slh invites regional community members to join them for various "walk with a doc" events. 2024 events included: o celebration of pride month. The event was held at clarkson university's munter trail with slh team members from infectious disease, potsdam primary care and members of the diversity, equity, and inclusion committee to learn about our commitment to providing quality and compassionate care to all community members. O an indoor walk with slh's clinical nutrition manager and other members of the st. Lawrence health nutrition department to learn about setting s.m.a.r.t. Goals to live a healthier life. Water, healthy snacks, and giveaways were provided. The event was free and open to people of all ages and abilities. O walk with a slh dermatologist and learn about skin health and cancer awareness. Providers will provide valuable insights on skin cancer during a brief talk while we enjoy a leisurely walk together. Open to all who are interested in promoting skin wellness and preventing skin cancer. Water, healthy snacks, and giveaways were provided. O hematology and medical oncology department for an invigorating walk to discuss steps to live a long life. This engaging session will focus on preventative health, offering practical advice to enhance longevity and well-being. Participants will enjoy a refreshing walk while learning the essential steps to maintaining a healthy lifestyle. Do not miss this unique opportunity to get active, informed, and inspired towards a healthier future. St. Lawrence region achieved their first pathway to excellence designation. This prestigious recognition from the american nurses credentialing center (ancc) is a testament to the unwavering dedication, commitment to excellence, and the supportive, empowering environment the st. As a pathway-designated organization, our nurses and nursing support team members embody the pathway standards through the work they do every day using the foundation of shared decision-making, leadership supporting inter-professional collaboration, safety, quality, well-being, and professional development. Canton-potsdam hospital invited runners and joggers of all abilities to a performance screening event. The physical rehabilitation team will perform assessments of each participant's current running attire and equipment to provide feedback and recommendations to improve performance and minimize injuries. Canton-potsdam hospital and the cancer services program teamed up to offer free breast cancer screenings at mammos in may, where free clinical breast exams and mammograms will be available to all who attend. Independent living for seniors d/b/a elderone, (ils) offers a program that gives the frail elderly an alternative to nursing home placement. It is designed to enable seniors to live in their own home served by a network of supportive services. The ils program of all-inclusive care for the elderly (pace) has proven that integrating health care services can have a powerful and beneficial impact on individual health and well-being. Seniors have a choice to live out their lives in their community - enjoying family, managing their health, making new friends simplifying how they choose and pay for needed long-term care. Ils offers all of the health, medical and social services needed to help an aging loved one maintain their independence, dignity and quality of life, including adult day care; primary care; laboratory, x-ray and ambulance services; rehabilitative and support services; medical specialty services; skilled nursing care; acute hospital care; in-home services; interdisciplinary consultation; and nursing home care should the need arise. Rochester regional health hospice care and rochester regional health home care (rrh hospice care and rrh home care) serves approximately 20,000 home care and hospice patients per year in the rochester and finger lakes region. Rrh hospice care provides services to minimize pain and manage the symptoms of advanced, life-threatening illness and addresses the spiritual, emotional and psychological concerns of patients and their families. The rrh hospice team celebrated music therapy appreciation month with a reception in appreciation for music therapists. Music is highly sought after and praised for the gifts he brings to so many of our hospice patients and their families. Rrh home care provides compassionate in-home health and specialty care services allowing patients to maintain their independence during the healing process. Services provided include skilled nursing, rehab therapies, medical social work, infusion therapies and home health aide services. Clifton springs living center is a 108-bed skilled nursing facility located in clifton springs. The 108-bed facility provides specialized services including traditional snf care, as well as specialty units for residents who require post-acute care, ventilator care, and dementia care. The services of reiki and healing touch therapies are offered by the nursing home, and additional services including acupuncture, hydrotherapy, massage therapy, and naturopathy are available through the springs integrative medicine center and spa. Demay living center located in newark is a 180-bed skilled nursing residence that provides both calm and stimulating atmospheres for residents. Services include: post-acute care, short-term rehabilitation, ventilator care, dementia care, peritoneal dialysis, wound care, telemedicine, neurobehavioral care, long term skilled nursing care and adult day care. Edna tina wilson living center in rochester is a 120-bed skilled nursing facility that uses innovative neighborhood design, with resident rooms clustered around the activity center and the living and dining areas to promote more social and interactive living. The center specializes in long-term care, rehabilitative services, pain management, respiratory therapy, iv therapy, peritoneal dialysis services, respite and hospice care. Hill haven living and nursing center in webster was a 288-bed facility with a comprehensive range of medical and assisted living senior services, including short-term rehabilitation, skilled nursing, respiratory, iv therapy, central line medications and maintenance, post-surgical wound care, on-site hemodialysis, peritoneal dialysis, telemedicine, dementia, alzheimer's, and hospice care. In 2021, rochester regional health made the difficult decision to close hill haven. Given the success of this project, rrh, in collaboration with pathstone, a not-for-profit community development and human services organization, opened midvale commons in 2024. Midvale commons provides an additional 38 units as part of the empire state supportive housing initiative (esshi) program for elderly individuals who may be at risk for homelessness or wish to remain independent with the assistance of supportive services. Park ridge child care center cares for children between eight weeks to twelve years of age. Located on the unity hospital campus, the center offers a safe and nurturing environment a happy home away from home where the highly trained teachers and staff focus on meeting a child's physical, social, emotional and cognitive needs. Rochester ambulatory surgery center (rasc) is a 29,000 square-foot facility that includes six operating rooms and two minor procedure rooms equipped with state of the art equipment and instrumentation. The mission of rasc is to provide a safe, convenient and cost-effective alternative to traditional surgical care. Linden oaks surgery center is a freestanding, multispecialty ambulatory surgery center where a broad range of outpatient surgical procedures are performed. The center offers four operating rooms and two procedure rooms which are fully equipped with preoperative and post-anesthesia care areas in order to provide high quality care and safety in a convenient outpatient surgery center. Westfall surgery center, offers a wide range of surgical services - from general surgery to plastic surgery, providing high-quality care in a convenient outpatient surgery setting. Rochester regional health immediate care operates thirteen locations throughout the rrh service areas, including the north country region, where expert providers can treat a wide variety of non-life threatening, urgent medical needs, with no appointment needed for in-person visits. 2024 saw the reopening of urgent care- penfield. Located in the penn fair plaza building at 2200 penfield road, rochester regional health urgent care providers and staff are available to diagnose and treat most non-life-threatening injuries and illnesses, in addition to offering a full line of occupational health services. Conditions include: abdominal pain, allergies, cold and flu symptoms, ear infections, headaches, sore throats, and urinary tract infections (uti). Additionally, orthopaedic urgent care at the henrietta medical campus opened in 2024. Ortho urgent care provides same-day care for unplanned injuries or ailments directly related to the body's bone, joint, and soft tissue structures with the flexibility to walk in or call to schedule an appointment. Rrh providers specialize in care for orthopaedic injuries and musculoskeletal issues, including: sprains/ strains, fractures, sports injuries, acute joint pain, injuries to the back, shoulder, knee, foot/ankle, and/or hand/wrist. Services include: x-ray, bracing, and casting. Enhanced staffing solutions (ess), a temporary staffing solutions company, offers a staffing model that rewards agility to the needs of the organization with highly competitive compensation, enables staff to choose the level of scheduling flexibility they need, and removes the need for a third party staffing agency. Staff can chose from options intended to fit a variety of lifestyle needs including just-in-time scheduling or short term assignment, weekends only, and more. Additionally, for those not living in the rochester area but are interested in traveling from a distance to work temporarily at one of our locations, ess provides travel assignments.
