Governance Explanations

Form 990, Part VI, Section B, Line 11B

Upon preparation of the federal form 990 by an independent accounting firm, the executive director sends the draft version of the federal form 990 to the board of directors, both electronically and in hard copy, for review prior to filing. Any questions or concerns from the board of directors are noted in writing, and 1,000 days' management team ensures that changes are incorporated into the form 990 as appropriate. The final version of the form 990 is distributed to the board of directors and then filed with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

Each member of the 1,000 days board of directors and the executive director annually sign a statement which affirms such person a) has received a copy of the conflict of interest policy, b) has read and understands the policy, c) has agreed to comply with the policy, and d) understands 1,000 days is a charitable organization and in order to maintain its federal tax exemption, it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. If a conflict of interest does arise with a board member or the executive director, he/she shall be recused from the meeting while the determination of the conflict of interest is discussed and voted upon. The remaining board members shall decide if a conflict of interest does exists and if so: a) whether 1,000 days can obtain a more advantageous arrangement from a person or entity that would not give rise to a conflict of interest, or b) whether the transaction or arrangement is in 1,000 days' best interest. The board shall make its decision by a majority vote as to whether to enter into the transaction or arrangement. If the governing board has cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall afford the member an opportunity to explain the alleged failure to disclose. If, after hearing the member's response and after making further investigation as warranted by the circumstances, the governing board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.

Form 990, Part VI, Section B, Line 15A

The board of directors reviews and approves the compensation of the executive director and the key employees, on an annual basis. This includes an annual evaluation of the executive director on his/her performance, as well as his/her input on matters of performance. In reviewing and approving the compensation for the executive director, the board of directors gathers comparability data, specifically data that documents compensation levels and benefits for similarly qualified individuals in comparable positions at similar organizations with respect to mission, size, annual budget and location. This process is led by the board chair, who is a volunteer and not compensated by 1,000 days and operates independently without undue influence from the executive director or any other key employee. To approve the compensation for the executive director (and other key employees) the board of directors documents how it reached its decisions, including the data on which it relied, in minutes of the meeting during which the compensation was approved.

THE REPORT LAYS OUT THE SCIENCE THAT SHOWS THE CRITICAL IMPORTANCE OF NUTRITION DURING THE 1,000 DAYS BETWEEN A WOMAN'S PREGNANCY AND HER CHILD'S SECOND BIRTHDAY, DESCRIBES THE STATE OF NUTRITION DURING THE FIRST 1,000 DAYS IN THE U.S., AND PROVIDES AN AMBITIOUS YET ACHIEVABLE AGENDA FOR CHANGE. 1,000 DAYS LAUNCHED THE REPORT IN SEPTEMBER 2016 ON CAPITOL HILL AND HAS DISSEMINATED THE FINDINGS BROADLY.
