Governance Explanations

Form 990, Part VI, Section A, Line 1A

The foundation has 10 directors and 4 officers. There are no material differences in director voting rights; everyone gets 1 vote and in the event of a tie there would be a stalemate. The board of directors of the foundation has delegated authority to the committee members of the great plains outdoorsmen (the foundation's fundraising event) as far as decisions related to determining which organizations receive grants and the amount of the grants. However, the decisions of the gpo committee are reviewed and ratified by the board of directors for the foundation.

Form 990, Part VI, Section A, Line 7A

The board of directors shall consist of ten (10) members who shall be the same individuals who serve on the board of directors of the sportsman's club of brown county, inc. The term of each director shall be the same as that director's term as a member of the board of directors of the sportsman's club of brown county, inc. Any vacancies in the board of directors, arising at any time and from any cause, shall be filled in the same manner as that provided in the by-laws of the sportsman's club of brown county, inc.
